This lawsuit was initiated as three
separate class actions filed in August 2017
following the announcement by Defendants of
their intention to abandon the construction
of a nuclear power plant, which had been
ongoing and financed by SCE&G customers
since 2009. Plaintiffs allege, among
other things, that Defendants breached
various duties in the construction of the
Project and improperly charged Plaintiffs
advanced financing costs. The settlement
includes a $115 million cash component, an
estimated $60 million to $85 million from
the sale of SCE&G property, and up to
$2 billion in future electric rate relief.

The lawsuit claims that merchants paid
excessive fees to accept Visa and
Mastercard cards because Visa and
Mastercard, individually, and together with
their respective member banks, violated
antitrust laws. Under the 2019 settlement,
Defendants will make additional cash
payments of $900 million for the Class, in
addition to the funds from the 2012
settlement funds, after reduction for opt-
outs and administrative expenses, raising
the total settlement fund to roughly $6.3
billion. The amount is subject to a
possible partial reduction, not to exceed
$700 million, depending on the percentage
of merchant volume that opts out from the
settlement. The deal creates a Rule
23(b)(3) Settlement Class consisting of all
persons, businesses, and other entities
that have accepted any Visa-Branded Cards
and/or Mastercard-Branded Cards in the
United States at any time from January 1,
2004 to January 25, 2019. The Rule
23(b)(3) Settlement Class does not include
(a) plaintiffs that previously settled and
dismissed their own lawsuit against a
Defendant, and entities related to those
Plaintiffs, (b) the U.S. government, (c)
the named Defendants in the Action or their
directors, officers, or members of their
families, or (d) financial institutions
that have issued Visa-Branded Cards or
Mastercard-Branded Cards or acquired Visa-
Branded Card transactions or
Mastercard-Branded Card transactions at any
time from January 1, 2004 to January 25,
2019. The deal does not resolve a pending
Rule 23(b)(2) equitable relief class action

Owners and lessees allege that certain Ram
and Jeep vehicles with 3.0-liter V6 diesel
engines in the United States were equipped
with eight Auxiliary Emissions Control
Devices (AECDs) that were not disclosed to
the Environmental Protection Agency, and
that the operation of one or more of the
AECDs alone or in combination resulted in
excess emissions of nitrogen oxides. Under
the settlement, Defendants will repair
about 100,000 Class Vehicles to ensure
their compliance with emissions
regulations, protect the repaired vehicles
with a robust extended warranty, and fairly
compensate Class Members with cash payments
up to $3,075. If all Class Members
participate, this will result in roughly
$307,460,800 in compensation, plus extended
warranty benefits worth an additional
$239,500,000.

Plaintiffs allege that the Sorin 3T system
contains defects that promote bacterial
colonization, and that the water in the
tanks of the Sorin 3T system is aerosolized
through the exhaust system, which then may
release bacteria into the ambient air of
the operating room through the Sorin 3T
system's exhaust fan. Defendants, they
say, failed to adequately warn of the risks
of the Sorin 3T system and/or provided
misleading and erroneous instructions
regarding how to disinfect or sterilize the
Sorin 3T system. As a result, Plaintiffs
allege they have been exposed to non-
tuberculous mycobacterium (NTM), among
other bacteria. The settlement provides
for a total payment of up to $225 million,
with up to $135 million to be paid no
earlier than July 2019 and the remainder in
January 2020.

Arconic Inc. and its subsidiaries remain defendants in
asbestos-related lawsuits, according to the Company's Form 10-K
filing with the U.S. Securities and Exchange Commission for the
fiscal year ended December 31, 2019.
The Company states, "Arconic Inc. and its subsidiaries and former
subsidiaries are defendants in lawsuits filed on behalf of persons
alleging injury as a result of occupational or other exposure to
asbestos. Arconic, its subsidiaries and former subsidiaries have
numerous insurance policies over many years that provide coverage
for asbestos related claims. Arconic has significant insurance
coverage and believes that Arconic's reserves are adequate for its
known asbestos exposure related liabilities. The costs of defense
and settlement have not been and are not expected to be material to

CenterPoint Energy, Inc. disclosed in its Form 10-K filing with the

The Company states, "Some facilities owned by the Registrants or
their predecessors contain or have contained asbestos insulation

exposure to asbestos, and the Registrants anticipate that

ASBESTOS UPDATE: Chubb Ltd. Faces 1,724 Claims at December 31

Chubb Limited is facing 1,724 asbestos claims at the end of 2019
compared to 1,838 asbestos claims for the same period in 2018,
according to the Company's Form 10-K filing with the U.S.
Securities and Exchange Commission for the fiscal year ended
December 31, 2019.
The Company also disclosed that during the year ended December 31,
2019, there were 173 new reported or reopened asbestos claims while
there are 287 closed or otherwise disposed asbestos claims.
The Company states, "For asbestos, Chubb faces claims relating to
policies issued to manufacturers, distributors, installers, and
other parties in the chain of commerce for asbestos and products
containing asbestos. Claimants will generally allege damages
across an extended time period which may coincide with multiple
policies covering a wide range of time periods for a single
insured.
"Survival ratios are calculated by dividing the asbestos or
environmental loss and allocated loss adjustment expense (ALAE)
reserves by the average asbestos or environmental loss and ALAE
payments for the three most recent calendar years (3-year survival
ratio). The 3-year survival ratios for gross and net Asbestos loss
and ALAE reserves were 5.8 years and 6.0 years, respectively. The
3-year survival ratios for gross and net Environmental loss and
ALAE reserves were 4.0 years and 12.1 years, respectively. The net
3-year survival ratios were impacted by favorable reinsurance
settlements in 2018. Excluding the settlements, the 3-year
survival ratio for net Asbestos loss and ALAE reserves and net
Environmental loss and ALAE reserves were 5.7 years and 4.5 years,
respectively. The survival ratios provide only a very rough
depiction of reserves and are significantly impacted by a number of
factors such as aggressive settlement practices, variations in
gross to ceded relationships within the asbestos or environmental
claims, and levels of coverage provided. Therefore, we urge
caution in using these very simplistic ratios to gauge reserve
adequacy."

ASBESTOS UPDATE: Crown Holdings Had 56,000 Claims at Dec. 31
------------------------------------------------------------
Crown Holdings, Inc. (fka Crown Cork & Seal Co Inc.) had 56,000
outstanding claims related to asbestos matters as of December 31,
2019, according to the Company's Form 10-K filing with the U.S.
Securities and Exchange Commission for the fiscal year ended
December 31, 2019.
The Company states, "Crown Cork & Seal Company, Inc. ("Crown Cork")
is one of many defendants in a substantial number of lawsuits filed
throughout the United States by persons alleging bodily injury as a
result of exposure to asbestos. These claims arose from the
insulation operations of a U.S. company, the majority of whose
stock Crown Cork purchased in 1963. Approximately ninety days
after the stock purchase, this U.S. company sold its insulation
assets and was later merged into Crown Cork.
"Prior to 1998, amounts paid to asbestos claimants were covered by
a fund made available to Crown Cork under a 1985 settlement with
carriers insuring Crown Cork through 1976, when Crown Cork became
self-insured. The fund was depleted in 1998 and the Company has no
remaining coverage for asbestos-related costs.
"The states of Alabama, Arizona, Arkansas, Florida, Georgia, Idaho,
Indiana, Iowa, Kansas, Michigan, Mississippi, Nebraska, North
Carolina, North Dakota, Ohio, Oklahoma, South Carolina, South
Dakota, Tennessee, Utah, West Virginia, Wisconsin and Wyoming
enacted legislation that limits asbestos-related liabilities under
state law of companies such as Crown Cork that allegedly incurred
these liabilities because they are successors by corporate merger
to companies that had been involved with asbestos. The
legislation, which applies to future and, with the exception of
Arkansas, Georgia, South Carolina, South Dakota, West Virginia and
Wyoming, pending claims at the time of enactment, caps
asbestos-related liabilities at the fair market value of the
predecessor's total gross assets adjusted for inflation. Crown
Cork has paid significantly more for asbestos-related claims than
the total value of its predecessor's assets adjusted for inflation.
Crown Cork has integrated the legislation into its claims defense
strategy. The Company cautions, however, that the legislation may
be challenged and there can be no assurance regarding the ultimate
effect of the legislation on Crown Cork.
"In December 2001, the Commonwealth of Pennsylvania enacted
legislation that limits the asbestos-related liabilities of
Pennsylvania corporations that are successors by corporate merger
to companies involved with asbestos. The legislation limits the
successor's liability for asbestos to the acquired company's asset
value adjusted for inflation. Crown Cork has paid significantly
more for asbestos-related claims than the acquired company's
adjusted asset value.
"In November 2004, the legislation was amended to address a
Pennsylvania Supreme Court decision (Ieropoli v. AC&S Corporation,
et al., No. 117 EM 2002) which held that the statute violated the
Pennsylvania Constitution due to retroactive application. The
Company cautions that the limitations of the statute, as amended,
are subject to litigation and may not be upheld.
"In June 2003, the State of Texas enacted legislation that limits
the asbestos-related liabilities in Texas courts of companies such
as Crown Cork that allegedly incurred these liabilities because
they are successors by corporate merger to companies that had been
involved with asbestos. The Texas legislation, which applies to
future and pending claims, caps asbestos-related liabilities at the
total gross value of the predecessor's assets adjusted for
inflation. Crown Cork has paid significantly more for
asbestos-related claims than the total adjusted value of its
predecessor's assets.
"In October 2010, the Texas Supreme Court reversed a lower court
decision, Barbara Robinson v. Crown Cork & Seal Company, Inc., No.
14-04-00658-CV, Fourteenth Court of Appeals, Texas, which had
upheld the dismissal of an asbestos-related case against Crown
Cork. The Texas Supreme Court held that the Texas legislation was
unconstitutional under the Texas Constitution when applied to
asbestos-related claims pending against Crown Cork when the
legislation was enacted in June of 2003. The Company believes that
the decision of the Texas Supreme Court is limited to retroactive
application of the Texas legislation to asbestos-related cases that
were pending against Crown Cork in Texas on June 11, 2003 and
therefore, in its accrual, continues to assign no value to claims
filed after June 11, 2003.
"The Company further cautions that an adverse ruling in any
litigation relating to the constitutionality or applicability to
Crown Cork of one or more statutes that limits the asbestos-related
liability of alleged defendants like Crown Cork could have a
material impact on the Company."

ASBESTOS UPDATE: Curtiss-Wright Still Faces Suits at December 31

Curtiss-Wright Corporation disclosed in its Form 10-K filing with

ended December 31, 2019, that to date, it has not been found liable
or paid any material sum of money in settlement in any
asbestos-related case.
The Company states, "We have been named in pending lawsuits that
allege injury from exposure to asbestos. To date, we have not been
found liable or paid any material sum of money in settlement in any
asbestos-related case. We believe that the minimal use of asbestos
in our past operations and the relatively non-friable condition of
asbestos in our products make it unlikely that we will face
material liability in any asbestos litigation, whether individually
or in the aggregate. We maintain insurance coverage for these
potential liabilities and we believe adequate coverage exists to
cover any unanticipated asbestos liability."

ASBESTOS UPDATE: Enstar Group Assumes $622.9MM Reserves for Zurich
------------------------------------------------------------------
Enstar Group Limited said in its Form 10-K filing with the U.S.
Securities and Exchange Commission for the fiscal year ended
December 31, 2019, that it assumed US$622.9 million of gross
reserves related to reinsurance of certain of Zurich's U.S.
asbestos and environmental liability insurance portfolios.
The Company states, "On October 1, 2019, we completed a reinsurance
transaction with Zurich Insurance Group ("Zurich"), pursuant to
which we reinsured certain of Zurich's U.S. asbestos and
environmental liability insurance portfolios. In the transaction,
we assumed US$622.9 million of gross reserves, relating to 1986 and
prior year business, for reinsurance premium of US$465.5 million
and recorded a deferred charge of US$115.8 million. We have ceded
10% of this transaction to Enhanzed Reinsurance Ltd. ("Enhanzed
Re"), in which we have an investment, on the same terms and
conditions as those received by Enstar."
The Company previously stated in its Form 10-Q filing for the
quarterly period ended September 30, 2019, that it assumed
approximately US$0.5 billion of gross reserves, relating to 1986
and prior year business.

ASBESTOS UPDATE: ITT Remains Obliged to Indemnify Xylem at Dec. 31

Xylem Inc. said in its Form 10-K filing with the U.S. Securities
and Exchange Commission for the fiscal year ended December 31,
2019, that ITT Corporation (now ITT LLC) is still obligated to
indemnify the Company from liabilities associated with asbestos
matters.
The Company states, "From time to time, claims may be asserted
against Xylem alleging injury caused by any of our products
resulting from asbestos exposure. We believe there are numerous
legal defenses available for such claims and would defend ourselves
vigorously. Pursuant to the Distribution Agreement among ITT
Corporation (now ITT LLC), Exelis and Xylem, ITT Corporation (now
ITT LLC) has an obligation to indemnify, defend and hold Xylem
harmless for asbestos product liability matters, including
settlements, judgments, and legal defense costs associated with all
pending and future claims that may arise from past sales of ITT's
legacy products. We believe ITT Corporation (now ITT LLC) remains
a substantial entity with sufficient financial resources to honor
its obligations to us.
"As part of our 2011 spin-off from our former parent, ITT
Corporation (now ITT LLC), Exelis Inc. and Xylem will indemnify,
defend and hold harmless each of the other parties with respect to
such parties' assumed or retained liabilities under the
Distribution Agreement and breaches of the Distribution Agreement
or related spin agreements. The former parent's indemnification
obligations include asserted and unasserted asbestos and silica
liability claims that relate to the presence or alleged presence of
asbestos or silica in products manufactured, repaired or sold prior
to October 31, 2011, the Distribution Date, subject to limited
exceptions with respect to certain employee claims, or in the
structure or material of any building or facility, subject to
exceptions with respect to employee claims relating to Xylem
buildings or facilities. The indemnification associated with
pending and future asbestos claims does not expire. Xylem has not
recorded a liability for material matters for which we expect to be
indemnified by the former parent or Exelis Inc. through the
Distribution Agreement and we are not aware of any claims or other
circumstances that would give rise to material payments from us
under such indemnifications.
"On May 29, 2015, Harris Inc. acquired Exelis. As the parent of
Exelis, Harris Inc. is responsible for Exelis' indemnification
obligations under the Distribution Agreement."

McDermott International, Inc. said in its Form 10-K filing with the

wherein plaintiffs allege exposure to asbestos at various

The Company states, "We review and defend each case on its own

asserted claim will have a material adverse effect on our future
results of operations, financial position or cash flow. With
respect to unasserted asbestos claims, we cannot identify a
population of potential claimants with sufficient certainty to
determine the probability of loss or estimate future losses. We do
not believe a risk of material loss is probable related to these
matters, and, accordingly, our reserves were not significant as of
December 31, 2019. While we continue to pursue recovery for
recognized and unrecognized contingent losses through insurance,
indemnification arrangements and other sources, we are unable to
quantify the amount that we may recover because of the variability
in coverage amounts, limitations and deductibles or the viability
of carriers, with respect to our insurance policies for the years
in question."
