BLUEBIRD BIO: Artificially Raised Common Stock Price, Gill Claims
-----------------------------------------------------------------
GARRY GILL, individually and on behalf of all others similarly
situated, Plaintiff v. BLUEBIRD BIO, INC., ANDREW OBENSHAIN,
CHRISTOPHER KRAWTSCHUK, and RICHARD A. COLVIN, Defendants, Case No.
1:24-cv-10803 (D. Mass., March 28, 2024) is a class action against
the Defendants for violations of Sections 10(b) and 20(a) of the
Securities Exchange Act of 1934 and Rule 10b-5 promulgated
thereunder.

According to the complaint, the Defendants made materially false
and misleading statements regarding Bluebird Bio's business,
operations, and prospects in order to trade Bluebird Bio's common
stock at artificially inflated prices between April 24, 2023 and
December 8, 2023. Specifically, the Defendants created the false
impression that: (i) they could obtain Food and Drug Administration
approval for lovo-cel without any box warnings for haematological
malignancies; (ii) they would be granted a priority review voucher
by the FDA and in turn sell it in order to strengthen their
financial position for the lovo-cel launch; (iii) as a result, the
Company had significantly overstated Lyfgenia's clinical and/or
commercial prospects; and (iv) therefore, the Company's public
statements were materially false and misleading at all relevant
times.

When the truth emerged, the price of Bluebird Bio's common stock
declined from a closing market price of $4.81 per share on December
7, 2023, to $2.86 per share on December 8, 2023.

As a result of the Defendants' wrongful acts and omissions, which
caused the precipitous decline in the market value of Bluebird
Bio's common stock, the Plaintiff and other Class members have
suffered significant economic losses and damages, says the suit.

NEW PROVIDENCE: Misleads Stockholders to OK Merger, Drulias Claims
------------------------------------------------------------------
DEAN WILLIAM DRULIAS, individually and on behalf of all others
similarly situated, Plaintiff v. NEW PROVIDENCE MANAGEMENT LLC,
ALEXANDER COLEMAN, GARY P. SMITH, JAMES BRADLEY, TIMOTHY GANNON,
DANIEL GINSBERG, RICK MAZER, and ABEL AVELLAN, Defendants, Case No.
2024-0327-PAF (Del. Ch., March 29, 2024) is a class action against
the Defendants for breach of fiduciary duty, aiding and abetting,
and unjust enrichment.

According to the complaint, the Defendants filed a misleading Proxy
Statement to convince stockholders to approve the merger of New
Providence Acquisition Corp. (NPA) with AST & Science LLC on April
6, 2021. Specifically, the Proxy Statement withheld critical
information from NPA's public stockholders concerning the high
degree of dilution of NPA's shares and dissipation of cash that
would occur in connection with the merger. Moreover, the Proxy
Statement placed a set of lofty financial projections to lure
stockholders to approve the merger. As a natural and predictable
consequence of the Proxy's false and misleading disclosures and
omissions, among other reasons, on April 1, 2021, NPA's public
stockholders approved the merger, and the merger closed on April 6,
2021. When the truth was revealed, the stock price of NPA, now
renamed AST SpaceMobile, Inc., plummeted. It has continued its
decline post-merger, now trading at just $2.86 per share as of
March 27, 2024, says the suit.

STANLEY, Defendant, Case No. 3:24-cv-01926-LB (N.D. Cal., March 28,

California Invasion of Privacy Act.

The case arises from Stanley's alleged practice of aiding, agreeing

of the electronic communications of visitors to its website,
https://www.stanley1913.com. The Defendant enables Meta Platforms,

Defendant's website uses a computer code analytics tool called the

situated, Plaintiff v. PHILLIP MORRIS INTERNATIONAL INC. and
SWEDISH MATCH NORTH AMERICA, LLC, Defendants, Case No.

the Defendants for violations of the California Unfair Competition

The case arises from the Defendants' false, deceptive, and

marketed and promoted ZYN as being healthy and a nicotine-cessation
device, whereas in fact, as the Defendants knew, ZYN had no health
benefits, was not a proven or authorized cessation device and would
merely lead to nicotine addiction for new users and sustain
nicotine addiction for those already addicted. The Plaintiff brings
this action for legal and equitable remedies resulting from the
Defendants' unlawful conduct.

SIKA AG: Artificially Inflated CCAs' Prices, Cal Prime Suit Claims
------------------------------------------------------------------
CAL PRIME, INC., on behalf of itself and all others similarly
situated, Plaintiff v. SIKA AG; SIKA CORPORATION; CHRYSO, INC.; GCP
APPLIED TECHNOLOGIES, INC.; COMPAGNIE DE SAINT-GOBAIN S.A.;
SAINT-GOBAIN NORTH AMERICA; MASTER BUILDERS SOLUTIONS ADMIXTURES
U.S., LLC; MASTER BUILDERS SOLUTIONS DEUTSCHLAND GMBH; CINVEN LTD.;
CINVEN, INC.; THE EUCLID CHEMICAL COMPANY; RPM INTERNATIONAL INC.;
and DOES 1-10, Defendants, Case No. 2:24-at-00376 (E.D. Cal., March
27, 2024) is a class action against the Defendants for violations
of Sections 1 and 3 of the Sherman Act, state antitrust statutes,
state consumer protection law, and unjust enrichment.

The case arises from the Defendants' unlawful agreement to fix the
prices for (a) concrete admixtures, (b) cement additives, and (c)
admixtures for mortar (collectively, "CCAs"). CCAs, which can be
either liquid or powdered, are added to concrete, cement, and
mortar before or during the aggregate's mixing with water to give
the finished product certain qualities. In sum, beginning no later
than May 11, 2018, the Defendants entered into an agreement to
consolidate their control over the global manufacture of CCAs and
charge supracompetitive prices for CCAs through price increases and
the imposition of surcharges. This agreement, which was effectuated
through the Defendants' shared membership in numerous trade
associations, resulted in the Plaintiff and members of the Class
paying supra-competitive prices for CCAs in the United States and
its territories. Through this action, the Plaintiff, on behalf of
itself and members of the Class, seeks to recover the overcharges
they paid to the Defendants, the suit says.

SUTRO BIOPHARMA: Collins Seeks to Invalidate Advance Notice Bylaw
-----------------------------------------------------------------
CHRISTOPHER COLLINS, on behalf of himself and all similarly
situated stockholders of SUTRO BIOPHARMA, INC., Plaintiff v.
MICHAEL DYBBS, JOHN G. FREUND, HEIDI HUNTER, JOSEPH M. LOBACKI,
CONNIE MATSUI, WILLIAM J. NEWELL, JAMES PANEK, DANIEL H. PETREE,
JON WIGGINTON, and SUTRO BIOPHARMA, INC., Defendants, Case No.
2024-0314 (Del. Ch., March 27, 2024) is a class action against the
Defendants for declaratory judgment and breach of fiduciary duty.

The Plaintiff seeks declaratory relief invalidating Sutro
Biopharma's Advance Notice Bylaw. According to the complaint, the
Advance Notice Bylaw is highly problematic and effectively serves
as a deterrent to stockholder nominations because of its definition
of "Acting in Concert," which contains both a "Wolf-Pack
Provision," which deems stockholders to be Acting in Concert with
one another if they act in parallel with each other, and a "Daisy
Chain Provision," which deems two stockholders working with the
same third party to be Acting in Concert, regardless of whether the
two stockholders know about each other's existence. As a result,
the Advance Notice Bylaw is an effective deterrent to any
stockholder considering nominating candidates for election to the
board, impermissibly limits the scope of stockholders' voting
rights to voting for or against candidates nominated by the board
and is fundamentally inconsistent with the notion that
stockholders' right to vote includes the right to nominate, says
the Plaintiff.

WEAVE COMMUNICATIONS: Taylor Seeks to Nullify Advance Notice Bylaw
------------------------------------------------------------------
BRUCE TAYLOR, on behalf of himself and all similarly situated
stockholders of WEAVE COMMUNICATIONS, INC., Plaintiff v. STUART C.
HARVEY, JR., BLAKE G. MODERSITZKI, TYLER NEWTON, GEORGE SCANLON,
DAVID SILVERMAN, DEBORA TOMLIN, BRETT WHITE, and WEAVE
COMMUNICATIONS, INC., Defendants, Case No. 2024-0313 (Del. Ch.,
March 27, 2024) is a class action against the Defendants for
declaratory judgment and breach of fiduciary duty.

The Plaintiff seeks declaratory relief invalidating Weave
Communications, Inc.'s Advance Notice Bylaw. According to the
complaint, the Advance Notice Bylaw is highly problematic and
effectively serves as a deterrent to stockholder nominations
because of its definition of "Acting in Concert," which contains
both a "Wolf-Pack Provision," which deems stockholders to be Acting
in Concert with one another if they act in parallel with each
other, and a "Daisy Chain Provision," which deems two stockholders
working with the same third party to be Acting in Concert,
regardless of whether the two stockholders know about each other's
existence. As a result, the Advance Notice Bylaw is an effective
deterrent to any stockholder considering nominating candidates for
election to the board, impermissibly limits the scope of
stockholders' voting rights to voting for or against candidates
nominated by the board and is fundamentally inconsistent with the
notion that stockholders' right to vote includes the right to
nominate, the Plaintiff says.
