ALCATEL: Joint Venture with TCL Opens for Business in Hong Kong
---------------------------------------------------------------
The new global handset company jointly set up by TCL
Communication Technology Holdings Limited (TCL Communication),
the holding company of Huizhou TCL Mobile Communication Co.,
Ltd. (TCL Mobile), a leading mobile handset manufacturer in
China, and Alcatel (Paris: CGEP.PA and NYSE: ALA), a worldwide
leader in telecommunications network equipment, applications and
services, officially started operations Monday.  The new company
is to be named as TCL & Alcatel Mobile Phones Limited (TAMP).

Since the signing of the Joint Venture Subscription Agreement on
18 June, TCL Communication and Alcatel have obtained
shareholder, board and regulatory approvals and finalized
various operational agreements necessary for the formation of
TAMP.  Headquartered in Hong Kong, TAMP has an initial net asset
value of approximately EUR100 million, with TCL Communication
holding a 55% equity stake and Alcatel owning the remaining 45%.

Substantially all of the 600 employees of Alcatel mobile handset
activities in France and in China have become the employees of
TAMP.

TAMP's research and development teams are expected to be located
in Colombes, France and Shanghai, China.  It is envisaged that
TCL Mobile and TAMP will cooperate in the development of next
generation handset technologies through the sharing of R&D
resources and in the distribution of each other's products
through their respective sales and distribution networks.

Future Plans

TCL Mobile and Alcatel believe that TAMP will combine their
respective strengths in the competitive mobile handset market
with the objective to become the global mobile handset leader.

Some of the key elements of the future strategy of TAMP are:

Expand market coverage: TCL Mobile and TAMP have complementary
handset markets which cover China, Latin America, Europe and the
rest of the world addressing major operators and distributors.

Leverage the brand equity of Alcatel: TAMP has an exclusive
license to use the Alcatel brand name for mobile handset sales
and distribution. Leverage Low-Cost Manufacturing: TCL and TAMP
will enter into various agreements to capture production
synergies by combined purchasing and leveraging TCL Mobile's
low-cost production base.

Strengthen R&D Platform: R&D co-operation between TCL Mobile and
TAMP is expected to optimize R&D resources of the two groups and
increase the pace of product rollouts.

TATI: Vetura Amends Redundancy Proposal to Save 33 More Jobs
------------------------------------------------------------
Vetura, which took over French discount clothing retailer Tati
last month, has decided to amend its redundancy plan, retaining
33 employees of the 997 who will be axed, Les Echos says.  This
brings to 700 the total number of jobs saved.

Tati's central works council reviewed the revised proposal
Monday.  The CGT union said the development was proof that there
was room for improvement in the plan.  The CGT is asking Vetura
to offer jobs to Tati's redundant employees at its eight new
outlets that will open in the next two months.  Twenty-one of
the retained employees come from Tati's main office.

CELANESE AG: Reports EUR91 Million Second-quarter Net Loss

Celanese AG (NYSE:CZ)(FWB:CZZ) reported a second quarter
operating profit of EUR54 million compared to EUR109 million in
the same period last year, which included EUR90 million of
insurance recoveries related to the previously disclosed
plumbing litigation cases.  In the second quarter 2004 report,
the company said it had a net loss for the period of EUR91
million, or EUR1.85 per share, compared to net earnings of EUR96
million, or EUR1.95 per share, in the same period last year.

Stronger business conditions than a year earlier were unable to
compensate for the negative impact on net earnings of a
valuation allowance of EUR146 million against deferred tax
assets associated with our U.S. net operating loss (NOL) carry
forwards.  Under U.S. tax law, a change in ownership of more
than 50 percentage points results in an annual limitation on the
future utilization of the NOL carry forwards.  In April, BCP
Crystal Acquisition GmbH & Co. KG, a limited partnership
controlled by a group of investment funds advised by The
Blackstone Group, acquired 84.32% of outstanding Celanese
shares.

Operating profit benefited in particular from higher volumes in
the Ticona, Chemical Products and Performance Products segments,
significantly lower stock appreciation rights expenses and the
absence of a loss from the European oxo business which was
transferred into a joint venture in October 2003.  Higher raw
material and energy costs and slightly lower pricing lessened
operating profit.

Net sales of EUR1.02 billion in the second quarter were flat
compared to those in the same period last year.  Volume
increases (+9%) were offset by changes in the composition of our
Chemical Products segment (-5%), unfavorable currency effects
(-3%), resulting mainly from the stronger euro versus the U.S.
dollar and slightly lower pricing (-1%), driven by the
Performance Products and Ticona segments.  The changes in the
composition of the Chemical Products segment mainly consist of
the effects of the transfer of the European oxo business into a
joint venture in the fourth quarter of 2003.

Outlook

In the third quarter 2004, the company is experiencing healthy
demand for many of its products and expects that volumes will be
stronger than those in the same period last year.  Volatile
pricing for crude oil, its derivatives and natural gas is
expected to impact the raw material and energy costs of the
company.  Celanese will continue its efforts to raise prices,
but expects that elevated costs for hydrocarbons will put
pressure on margins.  The company is also reviewing options to
redesign the corporate and business organizations and processes
and will continue the efforts to enhance productivity and the
profitability of the businesses.

Standard & Poor's Ratings Services affirmed its 'B+' corporate
credit ratings on BCP Caylux Holdings Luxembourg S.C.A. and its
Frankfurt, Germany-based Celanese AG subsidiary and removed them
from CreditWatch where they were placed with negative
implications on Dec. 16, 2003.  The outlook is stable.

The affirmation reflected shareholders' approval of the
domination and profit and loss transfer agreement, and the
domination agreement becoming effective on October 1, 2004.

"These agreements are important to BCP Caylux's credit quality
because they enable the company to control the management and
share in the profits and losses of Celanese.  BCP Caylux
currently owns 84% of the ordinary shares of Celanese," said

The two notes recently issued by global specialty chemicals
company Cognis are now listed on the Luxembourg Stock Exchange.

On May 13 Cognis issued subordinated fixed-rate Senior Notes of
EUR345 million and floating-rate Second Lien Notes of EUR235
million.  The Senior Notes carry a fixed coupon of 9.50% and
will mature in May 2014.  The Second Lien Notes bear an interest
of 4.75% over the respective six-month EURIBOR rate and will

IG FARBEN: Demands Full Payment for Subsidiaries Sold to WCM
------------------------------------------------------------
Insolvent German chemicals company IG Farbenindustrie is
demanding EUR17 million from WCM Beteiligungs- und Grundbesitz
as payment for the sale of its subsidiaries, Frankfurter
Allgemeine Zeitung says.

In an option agreement, WCM had promised to acquire two of IG's
subsidiaries, including real estate assets for EUR33 million.
However, the price was reduced to EUR17 million after it was
discovered that the EUR33 million initial price was based on the
subsidiaries' 2000 book value and was too high.  WCM continually
refused to pay the amount, claiming the signed deal was a mere
declaration of intent.  Insolvency administrator Angelika Amend
is reportedly interested in an out-of-court settlement to speed
up IG's insolvency proceedings.

WCM, the German real estate investment company, had been a
subsidiary of IG Farben until a complicated share exchange
reversed the situation.

PRIMACOM: Posts Higher First-half Loss Despite Revenue Jump

PrimaCom reports further improved consolidated revenues and
operating results for the second quarter and first six months of
2004.

Second quarter 2004 revenues reached EUR52.2 million, a 6.4%
increase over the second quarter 2003.  The company
significantly improved its operating profit to EUR6.1 million in
the second quarter of 2004 compared with EUR4.4 million in the
second quarter of 2003.  This improvement is the result of
continued cost control measures and increased revenues.

EBITDA for the second quarter of 2004 increased to EUR27.0
million, a 7.2% increase over the second quarter 2003 EBITDA.
Net loss for the second quarter of 2004 was EUR26.1 million
compared with a net loss of EUR23.2 million for the second
quarter of 2003.

Revenues increased by 6.5% to EUR103.3 for the first six months
of 2004 compared with EUR97.0 million in the first six months of
2003.  The operating profit for the first six months of 2004
significantly improved to EUR11.6 million from EUR7.1 million
for the first six months of 2003.

EBITDA for the first six months of 2004 increased to EUR53.2
million, a 10.8% increase over the first six months of 2003.
Net loss for the first six months of 2004 increased to EUR52.1
million, a 12.3 higher than from the first six months 2003.

Revenue generating units increased by 33,723 or 2.4% from
1,386,616 as of June 30, 2003 to 1,420,339 as of June 30, 2004.
The primary factor responsible for the growth was the 63.4% or
42,923 increase in high-speed internet subscribers.

BRAU UNION: Suffers Huge Profit Drop in First Half
--------------------------------------------------
Brau Union Rt, the brewery at the center of a controversial
takeover by Heineken, reported an 83% drop in first-half income
this year, just-drinks reports.  The company posted pre-tax
income for the six-month of HUF391 million (US$1.89 million).
Its operating income was down by 85.5% to HUF341 million.

Discounting the contribution of the product portfolio growth of
Heineken's Amstel, Brau's revenues are 4.1% lower.  This is
despite the fact that Brau increased its price by 8% this year.
Sales were low even in the general Hungarian market. The drop is
partly due to high imports of low-priced German and Czech canned
beer.

Brau's costs rose after price of sold goods and the value of
purchased services increased by 293.6% and 30.9%, respectively.

The company is facing a fraud lawsuit filed by a group of its
shareholders, reports say.  The investors are accusing the
company of deception in relation to acquisition by Heineken of
79.8% of Brau Union, formerly GeBAG.  They said the firm is
valued far more than the EUR770 million offered by Heineken.

According to Die Presse, Brau Union supervisory council
President Ludwig Beurle confirmed there is a difference of about
EUR40 million and EUR50 million in the valuation.

Brau Union's principal activity is the production and
distribution of beer.  Its brand names include Soproni Aszok,
Steffl, Gosser, Kaiser, Zipfer and the non-alcoholic brand,
Schlossgold.

The pilots and flight attendants of struggling Italian carrier
Alitalia have been trying to hold talks with the airline
management over the proposed restructuring plan, La Stampa says.

The plan entails increasing productivity and implementation of
drastic cost-cutting measures, which could help save around
EUR230 million.  Alitalia intends to transfer around 1,500
flight attendants to its Milan hub, as this would defer daily
commuting cost from their resident base in Rome.  Reports have
been circulating that around 6,000 jobs will be slashed from
Alitalia's workforce through redundancies and the spinning off
of Alitalia's ground services.

VIAGGI DEL VENTAGLIO: Lacks Cash to Repay Bonds, Says Auditor

Deloitte & Touche, auditor of the Italian tour group Viaggi del
Ventaglio, announced Friday the travel company might not be able
to repay a EUR100 million bond due May 2005, Il Sole 24 Ore
says.

The auditors said Viaggi should undertake extraordinary measures
to prevent the deferment of payment.  Deloitte and Touche
suggested the company could raise funds through selling its
properties or from a rights issue launched in June.  Claudio
Calabi, Viaggi's chief executive, confirmed the commitment of
the group to repay the bond.

Viaggi's stock price fell by 3.18% Monday at EUR1.097 after
Deloitte and Touche made the announcement.

DIOSYNTH BIOTECHNOLOGY: To Merge with U.S.-based Organon

Akzo Nobel on Tuesday announced a long-term plan involving major
investment and a merger for its struggling ingredients unit
Diosynth Biotechnology.

The Dutch drug company plans to upgrade Diosynth's facility, and
combine it with Organon, its U.S.-based human healthcare arm.
Some EUR60 million (US$72 million) will be spent to build a
production facility at Diosynth's headquarters in Oss, The
Financial Times reports.

Akzo Nobel will also create a biotechnology research facility in
Cambridge, Massachusetts.  The project will share the same
functions with other facilities worldwide so that it would be
necessary to eliminate 60 jobs, mostly at Oss.

Diosynth's future was thrown in doubt following a slump in
demand.  Organon is not faring well in the U.S. either.  Its
anti-depressant drug Remeron is battling tough competition with
cheaper generic drugs.

Dutch Nobel itself is suffering from sharp decline in
pharmaceutical sales, prompting it to embark on a restructuring
aimed at countering tough markets for chemicals and coatings
activities.  The company expects group net income to fall below
the level of 2003.  It is not due to introduce a new drug this
year, bringing the absence of major developments in its drugs
pipeline to two-and-a-half year.

YUKOS OIL: To Continue Paying Debts Beyond Tuesday's Deadline
-------------------------------------------------------------
The Tax Ministry said Yukos Oil has more time to pay its US$3.4
billion back bill for 2000 after the oil giant missed a deadline
to settle the debt Tuesday.

ITAR-Tass news agency reported that the Justice Ministry said
the period for enforcing payment of the bill had not ended since
the two-month period for the settlement of the bill did not
include time taken to track down Yukos assets for possible sale.

Authorities are examining the potential that Yukos' core
production unit, Yuganskneftegaz, will be sold to pay the firm's
back taxes.  Recently, Western investment bank Dresdner
Kleinwort Wasserstein, was hired to evaluate the asset's value.
The news eased worries the property could be sold cheaply to a
company approved by President Vladimir Putin.

On Tuesday, Yukos, which repeatedly warned it could go bankrupt
if forced to pay, reiterated it could only come up with half of
the amount being demanded.

"The company plans to pay off about US$1.7 billion of the
overall amount of back taxes by the end of August," Yukos
spokesman Alexander Shadrin said. "It will continue its tax
payments."

The President said the case is part of the government's drive to
collect taxes and crack down on murky business practices dating
back to the 1990s.  But many believe the assault on Yukos is a
punishment for the political aspirations of its then-chief
Mikhail Khodorkovsky.

BRITISH ENERGY: Relocates Operation to Cut Cost

A 15-year leasehold office space on Livingston's Alba campus
will be the new workplace for British Energy while it maintains
its headquarters in Scotland, according to Scotsman.

The company's move to relocate is part of the controversial
restructuring deal with its creditors.  According to a
spokeswoman of British Energy, the plan will be a big help in
improving its operational systems and cutting back on overhead
costs.  After last year's announcement to sell its Peel Park
base in East Kilbride, fears that British Energy will move most
of its business out of Scotland and transfer the bulk of its
workers to England mounted.

In 2002, British Energy, which supplies one-fifth of the power
generation in Scotland, went into crisis as a result of lower
wholesale electricity prices.  It has struggled to avoid
administration and is now battling against shareholders'
opposition to the terms of the compensation package.  The
company's debt is estimated at GBP1.3 billion.

RENTOKIL INITIAL: Chairman Promises Deeper Restructuring

Brian McGowan, new executive chairman of Rentokil Initial plc,
has promised a drastic shakeup of corporate culture at the
services company to turn it around, according to Times Online.

"This is not a soft option.  This is shaking the whole business
to its roots," he said.  "If you can't see improvement by the
end of next year you have to question whether you are doing the
right thing."

He calls the prevailing atmosphere in the company as embodiment
of "organizational arrogance, dogma and inflexibility."  He
plans to appoint a mergers and acquisitions specialist who will
oversee a buying spree, focused on the hygiene and security
divisions.

In line with the plan, he ruled out disposals of non-cores
businesses.  There have been rumors Rentokil would sell its
parcels and conferencing businesses.  He said disposals would be
just a "sideshow" as this would not greatly benefit
shareholders.

The former deputy chairman was appointed executive chairman in
May at a time the company made its worst set of results for many
years.  He has already sacked both chairman and chief executive
this year.  He warned it could take up to a year to find a new
chief executive.

Rentokil's profit before tax for the six months to the end of
June was GBP180.4 million, down 10% on the same period a year
earlier.
