HYPO ALPE ADRIA: Austrian Gov't to Set Up Bad-Bank

James Shotter at The Financial Times reports that Austria's
government has ended months of speculation over the fate of
Hypo Alpe Adria, by announcing that it will set up a so-called
bad bank to deal with the remaining assets of the stricken lender
and ruling out the possibility of letting it fail.
Under the plan, recommended by a task force, Hypo's units in the
Balkans will be sold off as quickly as possible, while its
remaining EUR17.8 billion of assets will be put into a wind-down
vehicle without a banking license, the FT relates.
This will remove the need for Austria to continue injecting
capital into the bank, which had to be nationalized in 2009 after
a rapid expansion into southeastern Europe, but will increase
Austria's public debt by about 6 percentage points to 80% of
national output, the FT notes.
In part to avoid this increase, Michael Spindelegger, Austria's
finance minister, had toyed with the idea of letting Hypo fail
and imposing losses on bondholders, the FT recounts. He however
said on Friday that the consequences of such an approach would
have been unpredictable, the FT relays.
The Austrian government is demanding that the state of Carinthia,
which helped speed Hypo's ill-fated expansion by giving the bank
billions of euros in loan guarantees, contribute to the cost of
the wind-down, the FT discloses.
Mr. Spindelegger, as cited by the FT, said that although Austria
will not impose losses on senior bondholders, it is seeking to
bail in holders of subordinated debt and non-voting participation
capital.
BayernLB Talks
Separately, Alexander Weber and Boris Groendahl at Bloomberg News
report that Austria will also start talks with Germany's
Bayerische Landesbank, another former Hypo Alpe owner, about a
settlement of legal disputes over the Munich-based bank's ill-
fated purchase.
The cases, pending in courts from Munich to Vienna and
Klagenfurt, include one concerning EUR2.3 billion Hypo Alpe owes
and refuses to repay to its former parent, Bloomberg discloses.
According to Bloomberg, BayernLB is suing other former holders
saying it was duped into the deal.

Commissioner Joaquin Almunia said in March 2013 that Hypo faced
possible closure for failing to adequately restructure.
The European Commission approved Hypo's recapitalization in
December 2013, but made it conditional on the management
presenting a thorough plan to overhaul the group. The Austrian
finance ministry, which effectively runs Hypo Alpe, submitted a
restructuring plan to the Commission on Feb. 5.

PLATINUM GMBH: Files For Insolvency; 70 Jobs at Risks

Ian Clover at pv magazine reports that Platinum GmbH said it has
filed for insolvency amid continuing financial difficulties in
the PV sector.
According to the report, Platinum said the company's current,
day-to-day operations will not be affected by the preliminary
insolvency actions. The company also revealed that it has
appointed Holger Leichtle of law firm Schultze & Braun to oversee
the insolvency proceedings, the report relates.
"The ongoing operation and supply to customers will continue as
normal," reassured Leichtle, who will coordinate Platinum's
restructuring process as the company open up discussions with its
partners and suppliers, pv-magazine.com reports.
pv magazine understands that none of the 70 employees who
currently work for Platinum are at risk of losing their jobs,
with salaries secured for the next three months via an insolvency
fund.
Platinum GmbH is a Wangen im Allgau, Germany-based inverter
manufacturer.
SOLARSTROM AG: Obtains EUR1.5-Mil. Bridging Loan

Ben Willis at PV-Tech reports that S.A.G. Solarstrom has received
a bridging loan to help it through its ongoing efforts to avoid
bankruptcy.
PV-Tech says the German company has been granted a debtor-in-
possession loan of EUR1.5 million (US$2.1 million) by Sparkasse
Freiburg-Nordlicher Breisgau.
According to the report, Solarstrom's insolvency administrator
Jorg Nerlich and the company's executive board requested the loan
to allow the company time to conclude the sale of German and
Italian PV projects and to implement its restructuring program
and search for investors.
The company in December had declared insolvency, at first under
self-administration, and on March 1, 2014, as general insolvency,
after refinancing talks failed, rechargenews.com reported.

Anton Troianovski in Berlin and Jan Hromadko in Kassel, Germany,
writing for The Wall Street Journal, reported that the common
political and business interests shared by German business and
politicians with respect to their relationship with Russia appear
to be waning as German chancellor Angela Merkel threatens trade
sanctions, taking the lead among European leaders trying to face
down Russian President Vladimir Putin over Ukraine.
The Journal related that for decades, German business and
politicians worked hand-in-hand to improve ties with Russia.
Companies that sold everything from shoes, to cars, to industrial
machinery wanted access to the giant market to the east. As a
result, Germany became Russia's most important Western business
partner. The upshot is that German business leaders who have
spent their careers pursuing the Russian market are struggling
with a new reality.
The report related that Ulrich Bettermann, a cabling-equipment
magnate with extensive interests in Russia, exemplified the close
ties between German business and Russia policy, when he provided
a private jet to whisk jailed Russian oil tycoon Mikhail
Khodorkovsky to Berlin in December after Germany helped persuade
the Kremlin to let him go. "It's possible she doesn't know
what's at stake," Mr. Bettermann said of Chancellor Merkel's
actions.
Rainer Seele, chief executive of German natural-gas producer
Wintershall AG, criticized the West's rush to threaten sanctions,
pointing out that economic sanctions will help no one as the
political and economic partnership between the two countries look
back at several decades, the Journal further related.
Wintershall was the first German company to help produce natural
gas in western Siberia and owns portions of two large gas fields
in the region, the report said.

GAYWEAR LTD: Parent Opts for Liquidation

Ciaran Hancock at The Irish Times reports that the owners of
Irish department store retailer Brown Thomas have decided to wind
up about 10 dormant companies registered here with the companies
office.
Brown Thomas managing director Stephen Sealey said the process
would begin in the coming weeks with adverts appearing in
national newspapers about the liquidation of various entities
owned by the group, The Irish Times relates. It could take up to
10 months to complete as some of the entities will seek a
members' voluntary liquidation, The Irish Times says.
According to The Irish Times, the first tranche of companies to
be wound up will include Gaywear Ltd., Switzer & Co., The Bailey
Ltd. and John S Ferguson Ltd. Others that will be liquidated
will include Cash and Company Ltd., Brown Thomas & Co.
(Investments) Ltd. and Alexander Moon Ltd., The Irish Times
discloses.
Brown Thomas is part of the UK-based Selfridges retail group and
is owned by successful Canadian businessman Galen Weston and his
family.

LightPoint Pan-European CLO 2007-1 P.L.C., issued in November
2007, is a collateralized loan obligation (CLO) backed by a
portfolio of mostly high-yield senior secured European and US
loans. The portfolio is managed by Neuberger Berman Fixed Income
LLC. The transaction's reinvestment period has ended in February
2014.
Ratings Rationale
The rating actions on the notes are primarily a result of stable
performance of the underlying collateral pool and expiry of the
transaction's reinvestment period in February 2014.
The good credit quality is reflected in the average credit rating
of the portfolio (measured by the weighted average rating factor,
or WARF). The reported WARF has been consistently better than the
current covenant level of 2700 in the last 2 years.
In light of reinvestment restrictions following the expiry of the
reinvestment period, and therefore the limited ability to effect
significant changes to the current collateral pool, Moody's
analyzed the deal assuming a higher likelihood that the
collateral pool characteristics would maintain an adequate buffer
relative to certain covenant requirements. In particular, Moody's
assumed that the deal will benefit from a shorter amortization
profile and higher spread levels than it had assumed prior to the
expiry of the reinvestment period.
The key model inputs Moody's uses in its analysis, such as par,
WARF, diversity score and the weighted average recovery rate, are
based on its published methodology and could differ from the
trustee's reported numbers. In its base case, Moody's analyzed
the underlying collateral pool as having a performing par and
principal proceeds balance of EUR326.2 million, defaulted par of
EUR4.2 million, a weighted average default probability of 18.6%
(consistent with a WARF of 2623), a weighted average recovery
rate upon default of 49.1% for a Aaa liability target rating, a
diversity score of 39 and a weighted average spread of 3.42%.
The default probability derives from the credit quality of the
collateral pool and Moody's expectation of the remaining life of
the collateral pool. The estimated average recovery rate on
future defaults is based primarily on the seniority of the assets
in the collateral pool. For a Aaa liability target rating,
Moody's assumed a recovery of 50% of the 96.9% of the portfolio
exposed to first-lien senior secured corporate assets upon
default and of 15% of the remaining non-first-lien loan corporate
assets upon default. In each case, historical and market
performance and a collateral manager's latitude to trade
collateral are also relevant factors. Moody's incorporates these
default and recovery characteristics of the collateral pool into
its cash flow model analysis, subjecting them to stresses as a
function of the target rating of each CLO liability it is
analyzing.
Methodology Underlying the Rating Action:
The principal methodology used in this rating was "Moody's Global
Approach to Rating Collateralized Loan Obligations" published in
February 2014.
Factors that would lead to an upgrade or downgrade of the rating:
In addition to the base-case analysis, Moody's conducted
sensitivity analyses on the key parameters for the rated notes,
for which it assumed lower credit quality in the portfolio to
address refinancing risk. Loans to European corporates rated B3
or lower and maturing between 2014 and 2015 make up approximately
4% of the portfolio, which could make refinancing difficult.
Moody's ran a model in which it raised the base case WARF to 2746
by forcing ratings on 50% of the refinancing exposures to Ca; the
model generated outputs that were within one notch of the base-
case results.
This transaction is subject to a high level of macroeconomic
uncertainty, which could negatively affect the ratings on the
note, in light of 1) uncertainty about credit conditions in the
general economy 2) the concentration of lowly-rated debt maturing
between 2014 and 2015, which may create challenges for issuers to
refinance. CLO notes' performance may also be impacted either
positively or negatively by 1) the manager's investment strategy
and behavior and 2) divergence in the legal interpretation of CDO
documentation by different transactional parties because of
embedded ambiguities.
Additional uncertainty about performance is due to the following:
1) Portfolio amortization: The main source of uncertainty in this
transaction is the pace of amortization of the underlying
portfolio, which can vary significantly depending on market
conditions and have a significant impact on the notes' ratings.
Amortization could accelerate as a consequence of high loan
prepayment levels or collateral sales by the collateral manager
or be delayed by an increase in loan amend-and-extend
restructurings. Fast amortization would usually benefit the
ratings of the notes beginning with the notes having the highest
prepayment priority.
2) Around 22% of the collateral pool consists of debt obligations
whose credit quality Moody's has assessed by using credit
estimates.
3) Recovery of defaulted assets: Market value fluctuations in
trustee-reported defaulted assets and those Moody's assumes have
defaulted can result in volatility in the deal's over-
collateralization levels. Further, the timing of recoveries and
the manager's decision whether to work out or sell defaulted
assets can also result in additional uncertainty. Moody's
analyzed defaulted recoveries assuming the lower of the market
price or the recovery rate to account for potential volatility in
market prices. Recoveries higher than Moody's expectations would
have a positive impact on the notes' ratings.
In addition to the quantitative factors that Moody's explicitly
modelled, qualitative factors are part of the rating committee's
considerations. These qualitative factors include the structural
protections in the transaction, its recent performance given the
market environment, the legal environment, specific documentation
features, the collateral manager's track record and the potential
for selection bias in the portfolio. All information available to
rating committees, including macroeconomic forecasts, input from
other Moody's analytical groups, market factors, and judgments
regarding the nature and severity of credit stress on the
transactions, can influence the final rating decision.

FIAT CHRYSLER: CEO Sets Oct. 1 Internal Deadline for NY Listing

Christina Rogers, writing for The Wall Street Journal, reported
that Sergio Marchionne, chief executive for Fiat Chrysler
Automobiles NV, said the company hopes to list on the New York
Stock Exchange by October, a move that will further solidify the
tie-up of the two auto makers following Fiat's acquisition
earlier this year of its U.S. partner.
"Everybody has an internal date of Oct. 1, but we're running
against the clock," the report cited Mr. Marchionne as speaking
to reporters on March 14. "It's a complicated process because of
the listing requirements and so on," he said, noting that it
could encounter delays. "If it slips 30, 60, 90 days, it's not a
problem," he added.
The New York listing would give the newly combined company
greater access to the U.S. capital markets as it embarks on a
costly plan to overhaul chunks of its global portfolio and
relaunch its luxury Alfa Romeo brand, the report related. Fiat
stock trades in Milan.
The move would also mirror the direction taken last year by
Fiat's sister company, CNH Industrial, of which Mr. Marchionne is
also chairman, the report further related.
Mr. Marchionne is laying the groundwork for a five-year business
plan that is expected to be announced in May and sets out a new
timetable and strategy for the auto maker, nearly five years
since Fiat rescued Chrysler from bankruptcy, the report added.

100% Italian when Fiat Spa completed its deal to purchase the 40%
it did not already own of Chrysler. Fiat has shared ownership of
Chrysler with the health care fund of the United Automobile
Workers unions since Chrysler emerged from bankruptcy in 209.

based auto manufacturer Chrysler Group LLC, including the
corporate credit rating to 'BB-' from 'B+' in mid-January 2014.

MARFRIG HOLDINGS: Moody's Retains B2 Sr. Unsecured Notes Rating
---------------------------------------------------------------
Moody's Investors Service assigned a B2 foreign currency rating
to Marfrig's proposed senior unsecured notes due in 2020 to be
issued by Marfrig Overseas Limited and irrevocably and
unconditionally guaranteed by Marfrig Global Foods S.A., formerly
Marfrig Alimentos S.A., ("Marfrig") and by Marfrig Holdings
(Europe) B.V. The proposed notes are a reopening of the USD500
million bond issued in April 2010. The deal is part of Marfrig's
liability management strategy and net proceeds from the issuance
will be entirely used to pay existing debt within the company.
The rating outlook is stable.

The outlook for all ratings is stable.
Ratings Rationale
Marfrig's B2 ratings are supported by its diversified portfolio
of animal proteins, as well as large geographic footprint and
global distribution capabilities. The company's diversity in
terms of raw material sourcing reduces risks related to weather
and animal diseases, while its large product portfolio helps
mitigate the volatilities inherent in commodity cycles and
supply-demand conditions for each specific protein. In addition,
Moody's view BNDES' (Brazilian National Development Bank) support
to the company as credit positive.
On the other hand, the ratings are constrained by Marfrig's still
elevated leverage and historically pressured operating
performance and credit metrics.
Following the sale of the Seara division to JBS (Ba3 Negative)
for BRL5.85 billion, in June 2013, Marfrig was able to improve
its liquidity and debt profile. As of December 2013, total cash
covered 154% of the company's short term debt, as compared to a
coverage ratio of 87% as of March 2013. Also, the reduced capital
expenditures and lower working capital needs as a result of the
divestiture should allow Marfrig to continue gradually improving
its cash flow generation in the short to medium term.
The proposed reopening of its 2020 notes should further improve
Marfrig's liquidity profile as proceeds will be directed to pay
existing debt and lengthen the company's amortization schedule.
The rating of the notes assumes that the final transaction
documents will not be materially different from draft legal
documentation reviewed by Moody's to date and assume that these
agreements are legally valid, binding and enforceable.
The stable outlook reflects our view that Marfrig will be able to
maintain operating margins near current levels and improve
liquidity over the near term.
The ratings or outlook could be upgraded if Marfrig demonstrates
consistent and predictable execution of its financial policy with
the ability to improve liquidity and keep operating margins at
least near current levels. In addition, it would require a CFO/
Net Debt approaching 15% and a Total Debt / EBITDA below 4.5x.
Marfrig's ratings could be downgraded if a consistent and
predictable financial policy execution is not observed going
forward. A downgrade could also be triggered if liquidity were to
deteriorate in a way that unrestricted cash position would
represent less than 80% of short term debt. Quantitatively,
downward pressure on Marfrig's B2 rating or outlook is likely if
Total Debt / EBITDA is sustained above 6.0x, EBITA to gross
interest expense falls below 1.0x or if Retained Cash Flow to Net
Debt is below 10%. All credit metrics are according to Moody's
standard adjustments and definitions.
The principal methodology used in this rating was the Global
Protein and Agriculture Industry published in May 2013.
Marfrig, headquartered in Sao Paulo, Brazil, is one of the
largest protein players globally, with consolidated revenues of
BRL18.7 billion (approximately USD8.6 billion) at the end of
2013. The company has significant scale and is diversified in
terms of sales, raw materials and product portfolio, with
operations in Brazil, US, UK and many other countries and
presence in the beef, poultry and food service segments.
Marfrig has three main business segments, which are Marfrig Beef,
Keystone Foods and Moy Park. The first accounts for about 45% of
the group's annual consolidated revenues, Keystone Foods
contributes with 28% of sales and Moy Park with the balance of
27%. More than half of its sales derive from international
operations, while 70% of EBITDA is tied to foreign currencies.
MARFRIG HOLDINGS: Fitch Retains 'B' Sr. Unsecured Notes Rating

Fitch rates the tap issuance of the reopening that was issued by
Marfrig Overseas Ltd but guaranteed by Marfrig Global Foods S.A.
(Marfrig) of its USD500 million senior unsecured 2020 notes
'B/RR4'.
Proceeds are expected to be used to refinance debt maturities and
extend debt maturity schedule.

fall to below 4.0x by 2015 from 4.2x (4Q13 annualized) at fiscal
year-end 2013 (FYE13). Fitch expects Marfrig to gradually
improve free cash flow after 2014 and operating margin due to
better asset and logistics management, lower capex, lower working
capital use and interest expense post-divestment of Seara Brazil.
Simplified Business Profile:
Marfrig has simplified its organizational structure and decreased
execution risk with the divestment of Seara Brazil during 2013.
The group is implementing its strategy called 'Focus to Win',
which aims to improve profitability and revenues with a focus of
its commercial strategy towards the rapid development of the food
service and retail channels.
The group is now structured into three business units, Marfrig
beef (46% of revenues), the world's third largest beef producer;
Moy Park (25%), one of the largest poultry-based processed
product supplier in the UK; and Keystone Foods (28%), which
processes food for major restaurant chains (notably McDonald's).
The company's product and geographic diversification continues to
help to reduce risks related to disease, trade restrictions and
currency fluctuation. As end-2013, processed foods represented
40% of sales. Revenues were primarily denominated in USD (43%),
Euro/Pound (22%) and the Brazilian real (21%).
No Major Acquisitions Anticipated:
Fitch does not foresee any major acquisitions for Marfrig in the
next 18 months as the company's management will need to focus on
improving cash flow generation. Fitch expects Marfrig to focus
on developing its existing activities. Key initiatives will be
the optimization of plants and distribution by Marfrig Beef, the
geographic expansion of Keystone, and the growth by Moy Park
through multi-protein retail sales in markets across UK and
Continental Europe.
Improved Debt Maturity And Liquidity:
The group has improved its debt maturity and liquidity profile
following the divestment of Seara. At FYE13, the group held
BRL1.8 billion of cash and marketable securities with a current
debt at about BRL1.1billion. Marfrig's short-term maturity
represented 12.6% of total debt as of FYE13. Marfrig's largest
bond refinancing requirements is now during 2017 (USD600
million).
Rating Sensitivities:
Considerations that could lead to a negative rating action
(rating or Outlook) include Marfrig's inability to start
generating positive free cash flow over the next 24 months and
maintaining net leverage above 4.0x. An upgrade of Marfrig's
ratings over the medium term is possible should the company and
new management be able to improve the group's profitability and
generate consistent positive free cash flow and reduce leverage.

SKELLIG ROCK: S&P Lowers Rating on Class E Notes to 'B-'

Standard & Poor's Ratings Services took various credit rating
actions on all of Skellig Rock B.V.'s classes of notes.
The rating actions follow S&P's credit and cash flow analysis of
the transaction using data from the trustee report dated Dec. 31,
2013.
Skellig Rock is a cash flow collateralized loan obligation (CLO)
transaction that securitizes loans to primarily speculative-grade
corporate firms. The transaction closed in November 2006. Since
the end of the reinvestment period in November 2012, the issuer
has used all scheduled principal proceeds to redeem the notes in
the transaction's documented order of priority.
Based on the trustee report, all classes of notes are currently
passing their overcollateralization tests. In S&P's previous
review on Feb. 15, 2012, the class E notes were passing at higher
levels.
The collateral pool's reported weighted-average spread has
increased to 4.02% from 3.24% since S&P's previous review
(compared with a covenanted spread of 2.65%). This increase in
spread is beneficial to the notes and allows them to achieve
higher break-even default rates (BDRs). The pool's percentage of
'CCC' rated assets (debt obligations of obligors rated 'CCC+',
'CCC', or 'CCC-') has increased to 6.2% from 5.93% since S&P's
last review. This increase is mainly due to the deleveraging of
the portfolio, in S&P's view. S&P has observed that the
concentration risk in terms of the number of obligors in the
portfolio and the obligors' exposure to the total portfolio has
further increased. This has resulted in higher scenario default
rates (SDRs). The trustee report that S&P used in its February
2012 review was dated December 2011.
The transaction has relatively high exposure to assets domiciled
in lower-rated sovereigns (Ireland and Spain). This is mainly
due to the amortization of assets in the pool, in S&P's opinion.
As the exposure to these sovereigns is above 10% of the portfolio
balance, S&P gives no credit to this exposure above 10% in its
cash flow analysis -- where the rating differential between its
rating on the sovereign and S&P's rating on the notes is above
six notches.
In S&P's analysis, it also tests the sensitivity of the notes to
the correlation of the assets and recovery sensitivity. In cases
where the cash flows pass at higher ratings than the initial
ratings on the notes, S&P also tests the movement in BDRs based
on the covenanted spread and recovery rates.
"We conducted our cash flow analysis to determine the BDR for
each rated class of notes. We used the portfolio balance that we
consider to be performing, the reported weighted-average spread,
and the weighted-average recovery rates that we considered to be
appropriate. We incorporated various cash flow stress scenarios
using our standard default patterns, levels, and timings for each
rating category assumed for each class of notes, combined with
different interest stress scenarios as outlined in our criteria,"
S&P said.
S&P considers the available credit enhancement for the class B
and C notes to be commensurate with higher ratings than
previously assigned. S&P has therefore raised its ratings on
these classes of notes based on its cash flow analysis.
The portfolio contains non-euro-denominated assets worth
EUR18.8 million. As the downgrade provisions in the swap
agreement do not comply with S&P's current counterparty criteria,
the maximum rating that the notes can achieve is no higher than
one notch above the rating on the counterparty with the highest
exposure to the transaction. For classes of notes to achieve
ratings above this level, S&P's cash flow analysis has to show
that the available credit enhancement for the notes is sufficient
to withstand losses, if the counterparty fails to perform and the
transaction is exposed to foreign exchange rate risk.
S&P considers that the available credit enhancement for the class
A1, A2a, A2b, A3, and D notes is commensurate with the currently
assigned ratings. S&P has therefore affirmed its ratings on
these classes of notes.
"In our cash flow analysis, the class E notes' BDRs pass the SDRs
at a higher rating level than that currently assigned. However,
the application of the largest obligor default test constrains
our rating on the class E notes. We have therefore lowered our
rating on the class E notes. This test measures the risk of
several of the largest obligors within the portfolio defaulting
simultaneously. We introduced this supplemental stress test in
our 2009 criteria update for corporate collateralized debt
obligations (CDOs)," S&P noted.

MTS BANK: Fitch Revises Outlook on 'B+' Long-Term IDR to Positive

Fitch Ratings has revised the Outlook on OJSC MTS Bank's (MTSB)
Long-term Issuer Default Rating (IDR) to Positive from Stable and
affirmed the IDR at 'B+'.
The revision of the Outlook reflects the revision of the Outlook
on Sistema Joint Stock Financial Corp (Sistema; BB-/Positive),
MTSB's controlling shareholder.
Key Rating Drivers - IDRS, National Long-Term Rating, Support
Rating
MTSB's IDRs, National Long-term and Support Ratings factor in the
likelihood of support the bank may receive, if needed, from its
major owner, Sistema, and/or its subsidiaries.
In Fitch's view, Sistema's propensity to provide support is
likely to be high, given the track record of capital support,
including RUB5.1 billion contributed in April 2013 by OJSC Mobile
TeleSystems (MTS, BB+/Positive), a major operating subsidiary of
Sistema; the brand association with MTS; and the significant
risks of reputational and market access damage for the group in
case of MTSB's default. Fitch considers that the cost of any
potential support would be likely be moderate, relative to the
size and financial ability of the broader group.
The one-notch difference between the ratings of Sistema and MTSB
reflects the bank's weak performance to date and its limited
strategic importance and synergy within the group.

Moody's Investors Service has affirmed Natixis Bank (ZAO)'s
Ba3/Not Prime global foreign- and local-currency deposit ratings
and E+ standalone bank financial strength rating (BFSR),
equivalent to b1 baseline credit assessment (BCA). Moody's
maintains a stable outlook on all of the aforementioned long-term
ratings.
Moody's assessment of Natixis Bank (ZAO) is largely based on its
audited financial statements for 2012, unaudited financial
statements for 2013, prepared under local GAAP, as well as
information received from the bank.
Ratings Rationale
The affirmation of Natixis Bank (ZAO)'s ratings reflects Moody's
assessment of a high probability of support in the event of need
from the bank's controlling shareholder -- Natixis (deposits A2
stable, BFSR D/BCA ba2 stable), resulting in a one-notch uplift
from its standalone BCA of b1 which is, in turn, supported by
Natixis Bank (ZAO)'s historically strong asset quality, healthy
capital and liquidity profile. At the same time, the ratings
remain constrained by the bank's narrow franchise in Russia --
focused on providing credit facilities to a limited number of
large corporates -- resulting in a concentrated loan book.
The affirmation considers Moody's expectation that Natixis Bank
(ZAO)'s asset quality will remain solid over the next 12-18
months -- in line with recent years. Moody's notes that Natixis
Bank (ZAO) has no overdue loans, and its asset quality benefits
from its strong risk management, tight control from the parent
and selective customer approach in corporate banking, focusing on
major local corporates operating in the Russian market. Moody's
also notes that Natixis Bank (ZAO)'s credit concentration remains
significant given the bank's focus on large corporate clients.
However, concentration risk is partially mitigated by the parent
bank's guarantees.
As at January 1, 2014, Natixis Bank (ZAO) reported a total
regulatory capital ratio (N1) of around 25%, and Moody's expects
that the bank's capital buffer will be sufficient to absorb
expected credit losses under Moody's central and adverse
scenario.
Natixis Bank (ZAO)'s liquidity profile has been supported by a
stable funding base largely provided by its parent (approximately
60% of the total liabilities) and an adequate level of liquid
assets which historically exceeded 20% of total assets.
Support Consideration
Natixis Bank (ZAO)'s global local currency (GLC) deposit rating
of Ba3 benefits from one notch of uplift given Moody's assessment
of a high probability of parental support in case of need.
Moody's support assumptions are based on the Natixis Bank (ZAO)'s
high degree of integration with its parent, its limited size and
reputation considerations. Natixis Bank (ZAO)'s dependence on
parental funding remains high (approximately 60% of total
liabilities in 2013); and a large portion of Natixis Bank (ZAO)'s
loan portfolio (around 56% at year-end 2013) is covered by parent
bank guarantees.
What Could Move The Rating Up/Down
Natixis Bank (ZAO)'s ratings have limited upside potential at
their current levels over the next 12-18 months. Any potential
upgrade in beyond this time frame will be contingent on the
bank's ability to materially strengthen its franchise, diversify
its funding base, and reduce concentration. The bank's supported
ratings may be upgraded if the parent's BFSR is raised. However,
downward pressure could be exerted on Natixis Bank (ZAO)'s
ratings by a material deterioration of the bank's risk profile,
particularly by any material erosion in asset quality,
deterioration of its liquidity profile, increase in concentration
levels or loss of business with key customers.

Moody's Investors Service has affirmed the B1 deposit ratings of
NBD Bank (Russia). The rating agency has also affirmed the bank's
standalone bank financial strength rating (BFSR) of E+, which is
equivalent to a baseline credit assessment (BCA) of b1. The
bank's Not Prime short-term deposit ratings were also affirmed.
All of the bank's long-term ratings carry a stable outlook.
The affirmation of NBD Bank's ratings reflects Moody's assessment
of the bank's healthy financial fundamentals, good corporate
governance and its niche position as one of the leading SME
lenders in the Nizhny Novgorod region. The affirmation also takes
into account constraints associated with geographical
concentration of the bank's assets and liabilities and its
limited market share, which renders the bank's performance
vulnerable to shocks in the local economy and intense competition
from large federal banks.
Moody's affirmation of the issuer's ratings is primarily based on
NBD Bank's unaudited IFRS-based management report for the first
nine months of 2013, as well as information received from the
bank.
Ratings Rationale
The affirmation of NBD Bank's ratings reflects the bank's (1)
entrenched niche franchise in its home market (Nizhny Novgorod)
where it has solid positions and accumulated expertise in the SME
segment; (2) good corporate governance; (3) healthy financial
fundamentals, namely robust profitability, high capital adequacy
and adequate asset quality; and (4) granular deposit base and
ample liquidity cushion.
NBD Bank benefits from its established positions in the Nizhny
Novgorod region, where it ranks third among local banks by total
assets and holds 5.5% market share in SME lending. The bank's
reputable shareholders (including international financial
institutions) ensure adequate corporate governance procedures,
and the low level of related-party lending positions the bank
favorably compared to peers.
NBD Bank reports sustainably strong profitability (return on
average assets of 2.9% in January-September 2013), on the back of
its healthy net interest margin (January-September 2013: 6.3%),
controlled operating expenses and fairly modest credit costs.
Moody's considers that NBD Bank currently has an ample buffer
against potential negative credit conditions aided by high
capital adequacy ratios (Tier 1 ratio of 16.7%, and total capital
ratio of 18.7%), solid recurring earning power (pre-provision
income-to-average assets ratio of 4.2%) and good loan provision
coverage (loan loss reserves-to-problem loans ratio of 91.8%) as
at September 2013.
NBD Bank also benefits from a highly diversified and granular
funding base: retail deposits account for about half of the
bank's total funding, with the rest equally split between
corporate accounts and long-term bilateral loans attracted from
international financial institutions. Moody's notes that retail
deposits within one single Russian region -- the core source of
the bank's funding -- proved to be highly vulnerable against the
background of a volatile operating environment. However, the
risks associated with the potential volatility of the deposit
base are mitigated by (1) a good track record in the liquidity
crisis of 2008 and, more recently, the turbulent 4Q 2013 (when a
series of bank license withdrawals caused retail deposit
volatility at many small banks), and (2) an ample cushion of
liquid assets (28% of total assets as of year-end 2013).
The rating agency adds that NBD Bank's ratings remain constrained
by the limited geographical diversification of the bank's
business (largely confined to a single region of Russia) that --
along with a limited market share -- renders the bank's
performance vulnerable to shocks in the local economy and
competition from the large federal banks which operate with a
lower cost of funding. Furthermore, high single-name
concentration renders the bank's capital potentially vulnerable,
as rapid deterioration of several of the largest credit exposures
may materially undermine the bank's capital profile and
profitability.
What Could Move The Ratings Up/Down
NBD Bank's ratings could be upgraded if the bank significantly
strengthens its franchise by improving the geographical
diversification of its business and/or gaining market share in
Nizhny Novgorod, while maintaining healthy financial
fundamentals.
A substantial deterioration of NBD Bank's asset quality, leading
to capital erosion, may trigger negative rating actions. The
bank's ratings may be also downgraded if the competitive
environment negatively affects its profitability metrics.

MARTINSA-FADESA SA: In Talks with Lenders to Avert Insolvency

Martinsa-Fadesa SA, the Spanish property developer with EUR6.7
billion (US$9.3 billion) of debt that sought bankruptcy
protection in 2008, is in talks with lenders on a maneuver that
would help it avoid insolvency.
According to Bloomberg, a person familiar with the matter said
that the company wants creditors to convert EUR115 million of
loans into a type of obligation that would count as equity rather
than debt on its balance sheet. That would keep the company from
violating Spanish law and help it avoid being dissolved,
Bloomberg notes.
Martinsa collapsed when Spain's real-estate boom ended and the
country plunged into the worst economic slump in its democratic
history, Bloomberg recounts. The company posted its sixth annual
loss last year and didn't have enough funds to make a scheduled
payment of EUR39 million to lenders in December, Bloomberg
relays. It has to find more than EUR500 million within nine
months to meet the next deadline of a 2011 creditor agreement, or
face liquidation, Bloomberg states.
"Martinsa's future looks very complicated," Francisco Salvador, a
strategist at broker FGA/MG Valores in Madrid, as cited by
Bloomberg, said. "It looks like the company needs to conduct a
brutal clean-up of its balance sheet in order to survive."
Under Spanish law, La Coruna-based Martinsa could be declared
insolvent if operational losses cause assets to be worth less
than liabilities, Bloomberg discloses.
To reduce negative equity, the company is negotiating with
creditors to convert debt into participative loans, which count
as equity when used to avoid liquidation, Bloomberg says, citing
the person familiar with the situation.
According to Bloomberg, the company reported a loss of EUR568
million last year, giving it negative equity of EUR4.2 billion,
compared with EUR3.6 billion in 2012.
Martinsa sought voluntary creditor protection in July 2008 after
it failed to get a EUR150 million loan to refinance debt, which
had been syndicated to about 45 lenders, Bloomberg says, citing
regulatory filings. It spent almost three years in creditor
protection, known as concurso in Spanish bankruptcy law, before
reaching an agreement with creditors in March 2011, Bloomberg
relates.

Average Portfolio Credit Quality
Fitch expects the average credit quality of obligors to be in the
'B' category. Fitch has credit opinions on all obligors in the
indicative portfolio. The covenanted minimum Fitch weighted
average rating factor (WARF) for assigning expected ratings is
36.0. The WARF of the indicative portfolio is 33.8.
Above-Average Recoveries
At least 90% of the portfolio will comprise senior secured
obligations. Fitch views the recovery prospects for these assets
as more favorable than for second-lien, unsecured and mezzanine
assets. Fitch has assigned Recovery Ratings to all assets in the
indicative portfolio. The covenanted minimum weighted average
recovery rate (WARR) for assigning expected ratings is 66.0%. The
WARR of the indicative portfolio is 71.4%.
Payment Frequency Switch
The notes pay quarterly while the portfolio assets can reset to a
semi-annual basis. The transaction has an interest smoothing
account, but no liquidity facility. The liquidity stress for the
non-deferrable class A-1, A-2, B-1 and B-2 notes, which stems
from a large proportion of assets resetting to a semi-annual
basis in any one quarterly period, is addressed by switching the
payment frequency on the notes to semi-annual in such a scenario,
subject to certain conditions.
Partial Interest Rate Hedge
Between 10% and 20% of the portfolio may be invested in fixed
rate assets, while fixed rate liabilities account for 15% of the
target par amount. Therefore the transaction is hedged against
rising interest rates.
Limited FX Risk
Any non-euro-denominated assets have to be hedged with perfect
asset swaps as of the settlement date. The transaction is allowed
to invest up to 20.0% of the portfolio in non-euro-denominated
assets.
TRANSACTION SUMMARY
Babson Euro CLO 2014-1 B.V. is an arbitrage cash flow CLO. Net
proceeds from the issuance of the notes will be used to purchase
a EUR400 million portfolio of European leveraged loans and bonds.
The portfolio is managed by Babson Capital Europe Limited. The
reinvestment period is scheduled to end in 2018.
The transaction documents may be amended subject to rating agency
confirmation or note holder approval. Where rating agency
confirmation relates to risk factors, Fitch will analyze the
proposed change and may provide a comment if the change would not
have a negative impact on the then current ratings. Such
amendments may delay the repayment of the notes as long as
Fitch's analysis confirms the expected repayment of principal at
the legal final maturity.
If in the agency's opinion the amendment is risk-neutral from the
perspective of the rating Fitch may decline to comment.
Noteholders should be aware that the structure considers the
confirmation to be given in the case where Fitch declines to
comment.
RATING SENSITIVITIES
A 25% increase in the expected obligor default probability would
lead to a downgrade of one to two notches for the rated notes.
A 25% reduction in the expected recovery rates would lead to a
downgrade of one to four notches for the rated notes.
In addition, in line with its Exposure Draft - Criteria for
Sovereign Risk in Developed Markets for Structured Finance and
Covered Bonds, January 2014, Fitch analysed a sensitivity of a
50% devaluation haircut to recovery rates for assets in these
jurisdictions, assuming that recovery rates may be realised in a
non-euro currencies. This sensitivity would not result in the
downgrade of the class A-1 or A-2 notes, the only notes affected.
This was done to assess transfer and convertibility risk if a
country was to leave the currency union and it is consistent with
the proposals of the Exposure Draft.
BAKER DONALD: High Court Appoints Provisional Liquidators

Baker Donald Ltd, a Chesterfield-based company which offered
insolvency advice and also traded as a licensed Insolvency
Practitioner, was put into provisional liquidation on public
interest grounds on Feb. 18, 2014, by the High Court in
Manchester.
The order follows a petition presented by the Secretary of State
for Business, Innovation and Skills and an investigation by the
Insolvency Service. The Official Receiver has been appointed as
Provisional Liquidator.
The company stated that it initially traded providing general
corporate insolvency advice, referring client cases to an
Insolvency Practitioner. Latterly, it employed an in-house
Insolvency Practitioner and handled cases itself. The Secretary
of State's allegations include that the company's failure to
maintain, preserve and/or deliver up accurate accounting records
means that it was not possible to distinguish between funds held
on behalf of clients or third parties and those belonging to the
company.
The role of the provisional liquidator is to protect assets in
the possession of or under the control, of the company pending
the determination of the petition. The provisional liquidator
also has the power to investigate the affairs of the company
insofar as it is necessary to protect the assets including any
third party or trust money or assets in the possession of or
under the control of the company.
The case is now subject to High Court action and no further
information will be made available until the petition is heard in
the High Court on April 14, 2014.
The petition to wind-up Baker Donald Ltd was presented under
s124A of the Insolvency Act 1986 on Feb. 11, 2014. The order
appointing the Official Receiver as Provisional Liquidator was
made on Feb. 18, 2014.
BMF 6: Fitch Downgrades Rating on Class C Notes to 'Csf'
--------------------------------------------------------
Fitch Ratings has affirmed 27 tranches of the Business Mortgage
Finance PLC (BMF) series, upgraded one tranche and downgraded 12
tranches following a review of the transactions' performance.
The BMF transactions are securitizations of mortgages to small
and medium-sized enterprises and the owner-managed business
community.
Key Rating Drivers
The downgrades result from falling recovery rates for enforced
loans. These have been exacerbated by high levels of arrears and
costs attributable to loans that have been in the issuer's
possession for an increasing length of time. Although the
workout of these legacy positions has helped to reduce the level
of arrears across all transactions, the increased losses pose a
particular threat to the subordinate classes, while the senior
note classes benefit from the sequential paydown.
The upgrade of the class M tranche in BMF 3 is a result of the
full repayment of the senior A1 and A2 tranches, increasing the
credit enhancement available to this tranche as it amortizes. The
affirmations reflect that Fitch considers the available credit
enhancement to be adequate for the ratings.
Rating Sensitivities
Further declines in values of secondary/tertiary commercial
property beyond Fitch's expectations would limit expected
recoveries, causing additional stress on portfolio cash flows.
This would most severely affect those portfolios exposed to
higher loan-to-value ratio loans.
Further stresses on borrowers could come from a rise in interest
rates leading to increases in the volumes of loans in arrears and
default.

CO-OPERATIVE GROUP: Lord Myners Proposes Board Overhaul

Andrew Bounds at The Financial Times reports that Lord Myners
said The Co-operative Group, which was dubbed "ungovernable" by
its departing chief executive, has been run by a "failed" and
underqualified board that took "breathtakingly value-destructive"
decisions.
According to the FT, in his eagerly awaited review of the retail,
farming and banking mutual, the Labour peer and former chairman
of Marks and Spencer said the Co-op board should be slimmed down
from 21 members to no more than 10 -- with at least six or seven
independent non-executives that have similar skills to directors
at listed companies.
He also recommended that the new board have an independent
chairman "with no previous association or involvement with the
group", the FT relays.
Lord Myners' report said the board had "failed" and "spent far
too much time on transactions ... that have been breathtakingly
value-destructive" -- including the ill-fated takeover of
Britannia Building Society, the FT relates.
Under his proposed changes, the existing board structure of
elected Co-operative Group members -- which at present include a
plasterer, a farmer, and the bosses of other co-operatives, but
no executives -- would be swept away, the FT discloses.
"The Co-operative Group's three-tier system of elected member
representation has consistently produced governors without the
necessary qualifications and experience to provide effective
board leadership," the FT quotes Lord Myners as saying.
In future, Lord Myners, as cited by the FT, said all appointments
to the group board should be "determined by the need to fill
specific skill gaps".
Lord Myners' proposals will be put to members' representatives at
the annual general meeting in Manchester on May 17, the FT notes.
Co-operative Group is a mutually owned food-to-funerals
conglomerate. Founded in 1863, the Co-op Group has more than six
million members, employs more than 100,000 people, and has
turnover of more than GBP13 billion.
DUNCAN RUGS: In Administration; 12 Jobs Affected
------------------------------------------------
David Elliott at Belfast Telegraph reports that Duncan Rugs has
gone into administration with the loss of 12 jobs.
Administrators Ernst & Young said the directors of Duncan Rugs
concluded the company was insolvent after a difficult period of
trading, Belfast Telegraph relates.
According to Belfast Telegraph, Andrew Dolliver from the
administrator said it was keen to keep the Newtownards company
running but felt the only option was to stop trading.
Duncan Rugs is a Co Down rug distributor. It was set up more
than 30 years ago and imported and distributed commercial quality
machine and handmade rugs from a range of international
suppliers.
GMAC UK: Fitch Assigns 'BB+' Long-Term IDR; Outlook Positive

Fitch Ratings has assigned a Long-term Issuer Default Rating
(IDR) of 'BB+' to GMAC UK plc (GMAC UK), a wholly owned
subsidiary of General Motors Financial Company, Inc. (GMF). The
Rating Outlook is Positive.
GMAC UK's short-term debt rating was affirmed at 'B' on Aug. 28,
2013, following GMF's purchase of the entity during its
acquisition of Ally Financial Inc.'s international operations
Key Rating Drivers
The equalization of GMAC UK's ratings with those of its parent,
GMF, reflects Fitch's view that GMAC UK is a 'core' subsidiary to
its parent. This is based on GMF's 100% ownership of the entity
as well as explicit support provided through guarantees to GMAC
UK from GMF.
Rating Sensitivities
GMAC UK's Positive Outlook is linked to that of its parent.
However, a negative rating action could be driven by a change in
the perceived relationship between the parent and subsidiary,
such as if Fitch believed that GMAC UK had become less core to
the parent's strategic operations or adequate financial support
was not provided in a time of stress.
Positive rating momentum at GMAC UK will be limited by Fitch's
view of GMF's credit profile. Fitch cannot envision a scenario
where the subsidiary would be rated higher than its parent.
GMAC UK provides a range of financial products and services to
General Motors Company customers and dealers throughout the
United Kingdom.

LEEDS UNITED: May Face Insolvency If Massimo Takeover Fails

Calendar reports that a sports lawyer said if the impending
takeover of Leeds United by Italian entrepreneur Massimo Cellino
falls through, the club could face insolvency.
Calendar relates that Mr. Cellino, who is awaiting the green
light from the football league to complete his purchase of Leeds,
is facing accusations of tax evasion back home in Italy which
threaten to scupper any deal.
But having already invested substantial sums, the club could be
left with a large bill to pay, the report says.

for bond issues that reportedly trade well below par. Prices are
obtained by TCR editors from a variety of outside sources during
the prior week we think are reliable. Those sources may not,
however, be complete or accurate. The Monday Bond Pricing table
is compiled on the Friday prior to publication. Prices reported
are not intended to reflect actual trades. Prices for actual
trades are probably different. Our objective is to share
information, not make markets in publicly traded securities.
Nothing in the TCR constitutes an offer or solicitation to buy or

Each Tuesday edition of the TCR contains a list of companies with
insolvent balance sheets whose shares trade higher than US$3 per
share in public markets. At first glance, this list may look
like the definitive compilation of stocks that are ideal to sell
short. Don't be fooled. Assets, for example, reported at
historical cost net of depreciation may understate the true value
of a firm's assets. A company may establish reserves on its
balance sheet for liabilities that may never materialize. The
prices at which equity securities trade in public market are
determined by more than a balance sheet solvency test.
