* BULGARIA: Among Countries with High Increase in Insolvencies

FOCUS News, citing Monitor Daily, reports that Bulgaria is among
the countries recording the biggest increase in company
insolvencies in Central and East Europe for 2013.

According to FOCUS News, Milena Videnova, manager of Coface
Bulgaria, said insolvency procedures in Bulgaria also take longer
than in most CEE countries.

Ms. Videnova, as cited by FOCUS News, said some 834 firms wrapped
up operations last year, marking a 40% increase y/y.  She said
the reasons behind the negative figures are the subdued domestic
demand, hard access to loans and the lack of sufficient programs
for supporting the business, FOCUS News relates.

In the first quarter of 2014, the number of companies entering
insolvency procedures was down 27% y/y, probably due to some
legal changes concerning backdated bankruptcies, FOCUS News
recounts.

CYPRUS: Finance Minister Mulls Sale of Bonds This Year
------------------------------------------------------
Paul Tugwell and Nikos Chrysoloras at Bloomberg News report that
Cyprus Finance Minister Haris Georgiades said the country is
considering selling bonds this year as it prepares a gradual
return to markets before an international bailout expires in
2016.

Mr. Georgiades on Saturday said Cyprus and the Troika of
officials representing the International Monetary Fund, the
European Central Bank and the European Commission agree on the
need for country to conduct external borrowing, Bloomberg
relates.  He also said that the latest review of the country's
economic adjustment program by the Troika concluded
"successfully", according to Bloomberg.

A sale would probably be held in September and be intended to
help the government reduce short-term liabilities, Bloomberg
says, citing two Cypriot government officials with knowledge of
the situation.

Mr. Georgiades, as cited by Bloomberg, said that the Cypriot
government will shortly discuss with all political parties
possible future bond sales similar to April's placement.

Cyprus received a EUR10 billion bailout from the euro area and
International Monetary Fund in March last year to avoid a
collapse, Bloomberg recounts.  The people said that its financial
performance means its buffer of spare funds from the rescue may
increase to EUR1.5 billion from EUR1 billion, Bloomberg relays.
Mr. Georgiades said that the next tranche from European partners
will be EUR600 million, Bloomberg notes.

CGG SA: Moody's Affirms Ba3 Corp. Family Rating; Outlook Stable
---------------------------------------------------------------
Moody's Investors Service has affirmed CGG SA's corporate family
rating (CFR) at Ba3, probability of default rating (PDR) at Ba3-
PD, and Baa3 ratings on the senior secured bank facilities issued
by CGG SA and CGG Holding (U.S.) Inc. Concurrently, Moody's has
also downgraded CGG's new and existing senior notes to B1 from
(P)Ba3 and Ba3 respectively. The outlook is stable.

Ratings Rationale

The rating action concludes Moody's review of CGG's capital
structure after completion of the issuance of the EUR400 million
senior notes due 2020 and the USD500 million senior notes due
2022. Part of the proceeds from the two notes were used to repay
the EUR360 million convertible bonds due 2016 (approximately
EUR7 million are still outstanding but should be redeemed by end
of June 2014) and the remaining proceeds will be used to repay,
on June 2, the USD225 million senior notes due 2016 as well as
USD265 million of the senior notes due 2017.

The refinancing of the convertible bonds due 2016 led to a
substantial reduction in debt cushion for the senior notes that
Moody's sees as no longer sufficient to provide an uplift to the
senior notes ratings. The convertible bonds did not benefit from
any guarantees from operating subsidiaries (guarantors of the
senior notes represented approximately 36% of CGG's consolidated
revenues for the year ended 31 December 2013), and hence were
effectively subordinated, to the extent of the guarantees, to all
the group's other debt.

The transaction was leverage neutral and consequently had no
impact on the CFR or PDR. The Baa3 ratings on the senior secured
bank facilities are likewise not impacted by changes to the
capital structure which are all at a more junior level.

In its interim management statement for the three months ended
March 31, 2014, the company reported total sales and EBIT of
respectively USD806 million and USD18 million for the quarter,
down by 7% and 86% respectively compared with the first quarter
of 2013. This was in line with expectations, and was mainly due
to a low level of land activity in North America, less favourable
supply/demand balance for contract marine acquisition, and a
negative contribution from the Seabed Geosolution joint-venture.
The company anticipates the second half of the year to be
stronger than the first one.

CGG ranks among the top three players in the seismic industry. It
is listed on both Euronext Paris and the New York Stock Exchange,
with a market capitalization of EUR1.8 billion as of May 14,
2014.

BALANDIS: Mulls Liquidation of 17 Closed-End Property Funds

Property Investor Europe reports that Stuttgart-based listed
balandis real estate has proposed liquidation of 17 closed-end
property funds it took over early this year as a seed portfolio,
holding around EUR400 million in German assets.

According to Property PIE, it is also seeking a buyer for its
management platform.


SAG SOLARSTROM: Insolvency Quota of Approximately 50% Likely
------------------------------------------------------------
The insolvency administrator Dr. Joerg Nerlich from the legal
office of Goerg in Cologne, on May 16 informed the Executive
Board of S.A.G. Solarstrom AG, which is under insolvency
proceeding, about the report for the May 16 creditors' meeting.

According to the report, he is assuming an insolvency quota of
approximately 50%, if the ongoing investor process can be
positively concluded.  Depending on the actual result of the
investor process, the insolvency dividend might ultimately lie
considerably below 50%, but might also be considerably higher.
Even if the outcome of the investor process is positive, the
question of whether the company shareholders will receive a
return flow of funds is still open.  However, based on the
positive development of the investor process, a divestiture of
S.A.G. Solarstrom AG is not expected as matters stand.

SUNWAYS AG: Opts to Delists Shares; CEO Steps Down
--------------------------------------------------
The Management Board of Sunways AG on May 16 decided to initiate
the revocation of the admission of the company's shares to
trading on the Frankfurt Stock Exchange (delisting).  This
decision was taken with the consent of Dr. Thorsten Schleich, the
insolvency administrator of Sunways, as the corporation will not
be continued but liquidated.  By order of April 28, 2014 the
local court of Konstanz had opened insolvency proceedings
concerning the assets of Sunways.

The shares of Sunways are currently admitted to trading in the
regulated market of Frankfurt Stock Exchange.  The application
for revocation of the admission is subject to approval by the
Frankfurt Stock Exchange's Management Board.  In addition,
Sunways shares are traded in unregulated markets (OTC) of the
stock exchanges in Stuttgart, Munich, Hamburg, Duesseldorf and
Berlin.  Hence, the Management Board and insolvency administrator
will also initiate all necessary action to revoke the inclusion
of Sunways shares in trading on these exchanges.  The Management
Board and insolvency administrator expect that the suspension of
trading on the various stock exchanges will take effect in the
second half of this year.

Moreover, Hoong Khoeng Cheong, the Chairman of the Management
Board of and CEO, on May 16 resigned from his Executive Office
with immediate effect.  The Supervisory Board and insolvency
administrator were informed accordingly.

Sunways AG is a German subsidiary of stricken Chinese firm LDK
Solar.

Eurocredit CDO V PLC, issued in September 2006, is a multi
currency Collateralised Loan Obligation ("CLO") backed by a
portfolio of mostly high yield European loans. It is
predominantly composed of senior secured loans. The portfolio is
managed by Intermediate Capital Managers Limited, and this
transaction ended its reinvestment period in September 2012.

The issued liabilities are denominated in EUR and GBP and
naturally hedged by assets denominated in EUR and GBP
respectively.

Ratings Rationale

According to Moody's, the upgrades of the senior notes result
primarily from the significant deleveraging of the Class A-1 and
A-2 notes and the subsequent increase in the
overcollateralization ratios ("OC ratios") of the senior notes.
In aggregate, Classes A-1 and A-2 have paid down by EUR140.1
million (42.4% of their combined closing balance) on the last two
payment dates.

As a result the OC ratios for all classes of notes have increased
in the last 12 months. As per the latest trustee report dated
April 2014, the Class A/B, Class C, Class D and Class E
overcollateralization ratios are reported at 142.96%, 122.95%,
111.27% and 105.70%, respectively, compared to 126.51%, 115.04%,
107.72% and 103.88% 12 months ago.

The downgrade of the most junior note results primarily from a
decline in a couple of key portfolio metrics. The credit quality
of the collateral pool has marginally worsened as reflected in
the average credit rating of the portfolio (measured by the
weighted average rating factor, or WARF). As of the trustee's
April 2014 report, the WARF was 3003 compared with 2899 in April
2013. Over the same period, the reported diversity score reduced
from 44 to 35.

The ratings of the Combination Notes address the repayment of the
Rated Balance on or before the legal final maturity. For Class V,
the 'Rated Balance' is equal at any time to the principal amount
of the Combination Note on the Issue Date minus the aggregate of
all payments made from the Issue Date to such date, either
through interest or principal payments. The Rated Balance may not
necessarily correspond to the outstanding notional amount
reported by the trustee.

The key model inputs Moody's uses in its analysis, such as par,
weighted average rating factor, diversity score and the weighted
average recovery rate, are based on its published methodology and
could differ from the trustee's reported numbers. In its base
case, Moody's analyzed the underlying collateral pool as having
(a) an EUR pool with performing par and principal proceeds
balance of EUR266.2 million, and defaulted par of EUR34.3 million
and (b) a GBP pool with performing par and principal proceeds of
GBP32.1 million, a weighted average default probability of 23.2%
(consistent with a WARF of 3564 over a weighted average life of
3.6 years), a weighted average recovery rate upon default of
44.6% for a Aaa liability target rating, a diversity score of 30
and a weighted average spread of 3.8%.

In its base case, Moody's addresses the exposure to obligors
domiciled in countries with local currency country risk bond
ceilings (LCCs) of A1 or lower. The portfolio has exposures to
13.9% of obligors in Italy and Spain, whose LCCs are A2 and A1
respectively. Moody's ran the model with different par amounts
depending on the target rating of each class of notes, in
accordance with Section 4.2.11 and Appendix 14 of the
methodology. The portfolio haircuts are a function of the
exposure to peripheral countries and the target ratings of the
rated notes, and amount to 1.6% for Classes A-1, A-2, and A-3
notes and 1.0% for Class B notes.

The default probability derives from the credit quality of the
collateral pool and Moody's expectation of the remaining life of
the collateral pool. The estimated average recovery rate on
future defaults is based primarily on the seniority of the assets
in the collateral pool. For a Aaa liability target rating,
Moody's assumed that 84.5% of the portfolio exposed to senior
secured corporate assets would recover 50% upon default, while
the non first-lien loan corporate assets would recover 15%. In
each case, historical and market performance and a collateral
manager's latitude to trade collateral are also relevant factors.
Moody's incorporates these default and recovery characteristics
of the collateral pool into its cash flow model analysis,
subjecting them to stresses as a function of the target rating of
each CLO liability it is analyzing.

Methodology Underlying the Rating Action:

The principal methodology used in this rating was "Moody's Global
Approach to Rating Collateralized Loan Obligations" published in
February 2014.

Factors that would lead to an upgrade or downgrade of the rating:

In addition to the base-case analysis, Moody's conducted
sensitivity analyses on the key parameters for the rated notes,
for which it assumed lower credit quality in the portfolio to
address refinancing risk. Loans to European corporates rated B3
or lower and maturing between 2014 and 2015 make up approximately
4.1% of the portfolio, which could make refinancing difficult.
Moody's ran a model in which it raised the base case WARF to 3706
by forcing ratings on 50% of the refinancing exposures to Ca; the
model generated outputs that were within one notch of the base-
case results.

This transaction is subject to a high level of macroeconomic
uncertainty, which could negatively affect the ratings on the
notes, in light of uncertainty about credit conditions in the
general economy. CLO notes' performance may also be impacted
either positively or negatively by 1) the manager's investment
strategy and behavior and 2) divergence in the legal
interpretation of CDO documentation by different transactional
parties due to because of embedded ambiguities.

Additional uncertainty about performance is due to the following:

1) Portfolio amortization: The main source of uncertainty in this
transaction is the pace of amortization of the underlying
portfolio, which can vary significantly depending on market
conditions and have a significant impact on the notes' ratings.
Amortization could accelerate as a consequence of high loan
prepayment levels or collateral sales the collateral manager or
be delayed by an increase in loan amend-and-extend
restructurings. Fast amortization would usually benefit the
ratings of the notes beginning with the notes having the highest
prepayment priority.

2) Around 40.6% of the collateral pool consists of debt
obligations whose credit quality Moody's has assessed by using
credit estimates.

3) Recoveries on defaulted assets: Market value fluctuations in
trustee-reported defaulted assets and those Moody's assumes have
defaulted can result in volatility in the deal's over-
collateralization levels. Further, the timing of recoveries and
the manager's decision whether to work out or sell defaulted
assets can also result in additional uncertainty. Moody's
analyzed defaulted recoveries assuming the lower of the market
price or the recovery rate to account for potential volatility in
market prices. Recoveries higher than Moody's expectations would
have a positive impact on the notes' ratings.

In addition to the quantitative factors that Moody's explicitly
modelled, qualitative factors are part of the rating committee's
considerations. These qualitative factors include the structural
protections in the transaction, its recent performance given the
market environment, the legal environment, specific documentation
features, the collateral manager's track record and the potential
for selection bias in the portfolio. All information available to
rating committees, including macroeconomic forecasts, input from
other Moody's analytical groups, market factors, and judgments
regarding the nature and severity of credit stress on the
transactions, can influence the final rating decision

APERAM SA: Moody's Affirms B1 Corp. Family Rating; Outlook Pos.
---------------------------------------------------------------
Moody's Investors Service changed its rating outlook for Aperam
S.A. to positive from negative. Moody's affirmed Aperam's B1 CFR,
B1-PD PDR and B3 senior unsecured notes ratings.

The change in outlook reflects Moody's view of improved European
stainless steel demand since Q4 2013. After a difficult 2012 and
2013, where demand from automotive and construction was
particularly low and prices depressed, the stainless steel market
has recovered, particularly in Europe. In South America and
Brazil, the other main market for Aperam, the company is the sole
producer of flat stainless steel. In Brazil, the company benefits
from the anti-dumping duties implemented by the government.
Furthermore, since the end of 2013, nickel prices have
substantially increased, leading to slight price increases and
the possible acceleration of the restocking process. Those
factors led to a better environment that Moody's believes should
continue to improve over the next 12 months, supporting the
change in outlook to positive.

Ratings Rationale

Aperam's B1 corporate family rating (CFR) reflects (1) the
cyclicality of Aperam's end markets, with high correlation to GDP
growth level and consumer spending; (2) the highly competitive
industry showing excess capacity; (3) the company's exposure to
raw material price volatility, particularly nickel, with
competition from Asian producers using nickel pig iron; and (4)
negative historical EBIT margin and thin EBIT margins of under 5%
expected in 2014-15 (on a Moody's-adjusted basis).

However, this is partially offset by (1) the company's improved
operating and financial performance since Q4 2013; (2) the
company's solid market position in Europe and Brazil where the
company benefits from anti-dumping duties on imports from some
countries including China and Taiwan; (3) improved demand from
the main end-markets of Automotive, consumer goods and capital
goods; (4) pricing proposals including a new daily alloy
surcharge that enables the company to pass-through more
effectively and with less delay changes in alloy costs to
customers; and (5) the improving nickel price.

Moody's believes that Aperam will be able to fully capitalize on
the improved market conditions both in terms of volume recovery
in Europe that should result in a higher capacity utilization
rate, and improvement in the pricing environment to grow its
operating margins. In terms of volumes, supply has consolidated
in Europe. Higher nickel prices witnessed since the end of 2013
are sustained by the Indonesian ban on the export of unprocessed
nickel, leading the way to further stainless steel price
increases and possible acceleration of the restocking process.
Furthermore, Aperam will continue to benefit from its leading
market position in the flat stainless steel in Brazil, a market
now protected from imports by anti-dumping measures.

Moody's expects that Aperam will be able to improve both its EBIT
and EBITDA margins, after having reported two years of negative
EBIT margin. Cash flow generation is expected to remain positive,
albeit at lower level as a result of working capital
requirements, capex and high level of financial expenses.

Moody's sees the company as having adequate liquidity profile,
with liquidity of USD725 million as of March 31, 2014, consisting
of cash and cash equivalents of USD294 million and undrawn credit
lines of USD431 million.

What Could Change The Rating Up/Down

An upgrade of the ratings could be considered if Aperam displays
(1) continued improvement in its profitability with EBIT margin
around 3%; (2) improved stainless steel demand leading to higher
capacity utilization ratio; (3) increased stainless steel base
prices, together with higher volumes; (4) an increase in free
cash flow; and (5) gross debt/EBITDA at or under 3.5x.

A downgrade is likely if (1) RCF declines to less than USD100
million; (2) debt/EBITDA sustainably rises above 5.5x; (3)
liquidity becomes tight; or (4) the company increases pro forma
leverage as a result of a debt-financed acquisition.

Aperam is a leading global stainless and specialty steel producer
based on an annual production capacity of 2.5 million tonnes in
2013. The company is the largest stainless and specialty steel
producer in South America (mainly Brazil) and the second largest
producer in Europe. Aperam reported shipments of 1,728 thousand
tones in full year 2013, sales of USD5.1 billion and EBITDA of
USD292 million for the year ended December 31, 2013.

Ratings Rationale

Moody's rating of the rated notes addresses the expected loss
posed to noteholders by the legal final maturity of the notes in
2027. The ratings reflect the risks due to defaults on the
underlying portfolio of loans given the characteristics and
eligibility criteria of the constituent assets, the relevant
portfolio tests and covenants as well as the transaction's
capital and legal structure. Furthermore, Moody's is of the
opinion that the collateral manager, Alcentra Limited
("Alcentra"), has sufficient experience and operational capacity
and is capable of managing this CLO.

Jubilee 2014-XII is a managed cash flow CLO. At least 90% of the
portfolio must consist of senior secured loans or senior secured
bonds and up to 10% of the portfolio may consist of senior
secured loans or senior unsecured bonds, second-lien loans,
mezzanine obligations, high yield bonds and senior unsecured
bonds. The portfolio is approximately 60% ramped up and will be
comprised predominantly of corporate loans to obligors domiciled
in Western Europe. The remainder of the portfolio will be
acquired during the 6 month ramp-up period in compliance with the
portfolio guidelines.

Alcentra will manage the CLO. It will direct the selection,
acquisition and disposition of collateral on behalf of the Issuer
and may engage in trading activity, including discretionary
trading, during the transaction's four-year reinvestment period.
Thereafter, purchases are permitted using principal proceeds from
unscheduled principal payments and proceeds from sales of credit
risk obligations, and are subject to certain restrictions.

In addition to the seven classes of notes rated by Moody's, the
Issuer is issuing one class of subordinated notes which is not
rated by Moody's.

The transaction incorporates interest and par coverage tests
which, if triggered, divert interest and principal proceeds to
pay down the notes in order of seniority.

Loss and Cash Flow Analysis:

Moody's modelled the transaction using CDOEdge, a cash flow model
based on the Binomial Expansion Technique, as described in
Section 2.3 of the "Moody's Global Approach to Rating
Collateralized Loan Obligations" rating methodology published in
February 2014. The cash flow model evaluates all default
scenarios that are then weighted considering the probabilities of
the binomial distribution assumed for the portfolio default rate.
In each default scenario, the corresponding loss for each class
of notes is calculated given the incoming cash flows from the
assets and the outgoing payments to third parties and
noteholders. Therefore, the expected loss or EL for each tranche
is the sum product of (i) the probability of occurrence of each
default scenario and (ii) the loss derived from the cash flow
model in each default scenario for each tranche. As such, Moody's
encompasses the assessment of stressed scenarios.

Moody's used the following base-case modeling assumptions:

Moody's has analysed the potential impact associated with
sovereign related risk of peripheral European countries. As part
of the base case, Moody's has addressed the potential exposure to
obligors domiciled in countries with local currency country risk
ceiling of A1 or below. Following the effective date, and given
the portfolio constraints and the current sovereign ratings in
Europe, such exposure may not exceed 10% of the total portfolio,
where exposures to countries local currency country risk ceiling
of Baa1 or below cannot exceed 5% (with none allowed below Baa3).
As a result and in conjunction with the current foreign
government bond ratings of the eligible countries, as a worst
case scenario, a maximum 5% of the pool would be domiciled in
countries with single A local currency country ceiling and 5% in
Baa2 local currency country ceiling. The remainder of the pool
will be domiciled in countries which currently have a local
currency country ceiling of Aaa. Given this portfolio
composition, the model was run with different target par amounts
depending on the target rating of each class of notes as further
described in the methodology. The portfolio haircuts are a
function of the exposure size to peripheral countries and the
target ratings of the rated notes and amount to 0.75% for the
class A notes, 0.50% for the Class B notes, 0.375% for the Class
C notes and 0% for Classes D, E and F.

Stress Scenarios:

Together with the set of modelling assumptions above, Moody's
conducted additional sensitivity analysis, which was an important
component in determining the provisional rating assigned to the
rated notes. This sensitivity analysis includes increased default
probability relative to the base case. Below is a summary of the
impact of an increase in default probability (expressed in terms
of WARF level) on each of the rated notes (shown in terms of the
number of notch difference versus the current model output,
whereby a negative difference corresponds to higher expected
losses), holding all other factors equal:

entities. The weighted average rating factor of the initial
portfolio is 32.2.

Above-Average Recoveries
The portfolio comprises a minimum of 90% of senior secured loans
and senior secured bonds. Recovery prospects for these assets are
typically more favorable than for second-lien, unsecured, and
mezzanine assets. Fitch has assigned recovery ratings to 100% of
the indicative portfolio. The weighted average recovery rate of
the initial portfolio is 71.7%.

Above-Average WAS and WAC
The covenanted minimum weighted average spread and weighted
average coupon indicated by the investment manager to be the
expected combination as of the effective date are 4.2% and 6.2%,
respectively; these are above the typical values for CLOs rated
recently by Fitch. This is particularly beneficial to junior
notes with low credit enhancement.

Above-Average Obligor Concentration
Portfolio profile tests limit the exposure to the top five
obligors in the portfolio to 3% each. This is above the typical
numbers for CLOs rated recently by Fitch. Exposure to other
obligors within the pool is not allowed to exceed 2.5% each for
senior secured loans or senior secured bonds and 1.5% each for
any other debt obligations.

Limited FX Risk
All non-euro-denominated assets have to be hedged as of the
settlement date using suitable asset swaps and are limited to 30%
of the portfolio.

Limited Interest Rate Risk
Fixed rate assets can account for no more than 10% of the
portfolio, while fixed rate liabilities account for 1% of the
target par amount.

Transaction Summary

Net proceeds from the issuance of the notes are being used to
purchase a EUR498.75 million portfolio of European leveraged
loans and bonds. The portfolio is managed by Alcentra Limited.
The reinvestment period is scheduled to end in 2018.

The transaction documents may be amended subject to rating agency
confirmation or note holder approval. Where rating agency
confirmation relates to risk factors, Fitch will analyze the
proposed change and may provide a comment if the change would not
have a negative impact on the then current ratings. Such
amendments may delay the repayment of the notes as long as
Fitch's analysis confirms the expected repayment of principal at
the legal final maturity.

If in the agency's opinion the amendment is risk-neutral from the
perspective of the rating Fitch may decline to comment.
Noteholders should be aware that the structure considers the
confirmation to be given in the case where Fitch declines to
comment.

Rating Sensitivities

A 25% increase in the expected obligor default probability would
lead to a downgrade of one to three notches for the rated notes.
A 25% reduction in the expected recovery rates would lead to a
downgrade of one to two notches for the rated notes.

EMPRESA DE ELECTRICIDADE: Moody's Puts 'Caa1' Rating for Upgrade
----------------------------------------------------------------
Moody's Investors Service has placed the Caa1 issuer rating of
Empresa de Electricidade da Madeira, S.A. (EEM) on review for
upgrade and has changed the outlook to stable from negative of
the B1 issuer rating of EDA - Electricidade dos Acores, S.A.
(EDA). Concurrently, Moody's has affirmed this rating.

The action follows Moody's recent decision to (1) upgrade to Ba2
from Ba3 the rating of the Republic of Portugal (RoP) and to
place the rating on review for further upgrade, as announced on
May 9, 2014; and (2) the subsequent rating actions involving
several regional and local governments in Portugal, including (i)
the Autonomous Region of Madeira (RAM), which has been upgraded
to B2 from B3; and (ii) the Autonomous Region of Azores (RAA),
which has been upgraded to Ba3 from B1.

Ratings rationale

Empresa de Electricidade da Madeira, S.A.

The review for upgrade of the Caa1 issuer rating of EEM reflects
the improving macroeconomic environment as reflected in the
positive rating action on the RAM and its review for further
possible upgrade.

In addition, the review will take into account indications of an
improving financial and liquidity profile at the company level as
a result of a reduction in the outstanding receivables due from
central and regional governments. This reduction includes (1)
full and final settlement in early 2014 of EUR42 million of
overdue receivables from the central government; and (2) progress
in establishing protocols or agreements for the repayment of an
increased number of the long outstanding receivables due from
regional government and municipalities. There has also been a
reversal of the year-on-year increases in recent times of these
receivables, which dropped to EUR103.4 million as at fiscal year-
ended (FYE) 2013 from EUR114 million as at FYE 2012.

EEM's rating continues to recognize the company's strong linkages
with the RAM given its position as the dominant vertically
integrated utility. These linkages are reinforced by the
guarantee given by the RAM on its EUR220 million syndicated
facility, which represents over half of the company's long-term
debt. In addition, the current rating factors in (1) EEM's low
business risk profile and the fully regulated nature of its
activities, in the context of a relatively well-established
regulatory framework; (2) the small size of the company and
certain concentration risks given its regional location; (3) the
company's leveraged profile and weak credit metrics as a result
of still high outstanding receivables and (4) the company's
reliance on short-term credit facilities.

What Could Change The Rating Up/Down

Further confirmation of EEM's improving fundamental credit
profile could result in upward pressure developing on the
company's rating as a result of the review. The outcome of the
review may also be influenced by the rating outcome of the
conclusion of the review for upgrade of the RAM. Negative rating
pressure could develop on EEM's rating in the event of a renewed
deterioration in the company's fundamental credit profile or of
that of the RAM.

EDA -- Electricidade Dos Acores S.A. (EDA)

The outlook change to stable from negative reflects an improved
macroeconomic environment as evidenced by the positive action on
the rating of RAA and the general improvement in market
conditions and funding for Portuguese issuers.

The outlook stabilization takes into account the recent partial
improvement in the company's liquidity as a result of the receipt
of payment of EUR42 million of overdue receivables from the
Portuguese government. However, the company remains reliant on
facilities with short-term maturities and has not yet fully
secured financing of the EUR50 million debt repayment due in
August.

The rating may remain constrained at B1 unless the company
ensures a more comfortable liquidity profile. Moody's notes that
the finalization of a new EUR50 million European Investment Bank
loan, which has already been guaranteed by the RAA, but is still
awaiting the approval from the Government of Portugal, would
significantly improve the company's liquidity position.
Otherwise, the company is reliant on short-term credit
facilities. That said, Moody's notes that the EDA has
consistently renewed the majority of these facilities in the
past, which are usually rolled over on a 3-6 months basis.

Moody's also takes into account the fact that EDA expects to
reduce its capital expenditure in forthcoming years from recent
levels, which should result in improving debt metrics assuming a
reasonably favorable outcome to the regulatory review for the
period starting 2015.

The B1 rating continues to reflect (1) EDA's position as the
dominant vertically integrated utility in the RAA. Its close
linkage is reinforced by the fact that over 40% of EDA's existing
debt benefits from a guarantee from the RAA; (2) its relatively
low business risk profile; and (3) the fully regulated nature of
the company's activities in the context of a relatively well-
established and transparent regulatory framework. At the same
time, the rating also recognizes the small size of the company
and its regional concentration risk.

What Could Change The Rating Up/Down

In the context of an improved macroeconomic environment as
recognized in the RAA's rating upgrade, positive rating pressure
could develop if EDA could demonstrate a comfortable liquidity
position combined with an improving financial profile. Negative
rating pressure could develop (1) if the company were to prove
unable to repay its maturing debt; or (2) in the event of a
deterioration in either the company's fundamental credit profile
or the rating of the RAA.

AYT COLATERALES: Fitch Affirms 'Bsf' Rating on Class D Notes
------------------------------------------------------------
Fitch Ratings has affirmed AyT Colaterales Global Hipotecario Sa
Nostra I, a Spanish RMBS originated by Banco Mare Nostrum
(BB+/Stable/B).

Key Rating Drivers

Stable Asset Performance

Over the past 12 months, the performance of the underlying loans
has remained broadly stable, with late stage arrears (mortgages
with at least three monthly payments overdue) reported at 2% of
the current pool.  Gross defaults, defined as mortgages with at
least 18 unpaid installments, stand at 2.2% of the initial pool.
Total arrears reduced to 11.9% from 15.2% of the current pool
between May and November 2013.

Second-lien mortgages represent around 38% of the portfolio
balance.  The agency received updated information on these loans
and the corresponding first-lien portions that are not in the
pool.  Fitch estimated that the second-lien mortgages have an
overall current loan-to-value ratio (CLTV) of 45%, substantially
below the market average, while the CLTV of the total portfolio
is approximately 62.4%.  Fitch believes that the combination of
moderate CLTV levels and high seasoning (nearly 95 months)
contributes to the sound performance.  As a result, late stage
arrears are expected to remain stable and therefore Fitch has
revised the Outlook to Stable from Negative.

Sufficient Credit Enhancement
Fitch believes the available credit enhancement is sufficient to
withstand the stress scenarios associated with the ratings and
consequently affirmed the notes.

Mortgage Renegotiations
Fitch notes that only 2.6% of the current pool is affected by
maturity extensions, designed to reduce monthly installments for
weaker borrowers. In its analysis, the agency applied more
conservative assumptions to these mortgages and found the
transaction is resilient to the stress.

Rating Sensitivities

Given the pool concentration in the Balearics, a worsening of the
local economic environment, especially employment conditions, or
an abrupt shift in interest rates might threaten the underlying
borrowers' affordability.  A sound performance as indicated by
stable arrears patterns and low defaults could trigger positive
rating actions.

2 subordinated debt, issued under its EUR30 billion debt issuance
program, a 'B+' rating.

Key Rating Drivers

The debt is notched down one level from Bankia's Viability Rating
(VR) of 'bb-' for loss severity because of lower recovery
expectations relative to senior unsecured debt.  The securities
are subordinated to all senior creditors.  There is no notching
for incremental non-performance risk relative to the bank's VR,
reflecting no coupon flexibility.  The rating is in line with
Fitch's criteria 'Assessing and Rating Bank Subordinated and
Hybrid Securities'.

The securities have a 10-year maturity, bear a fixed reset coupon
rate from year five and are callable by the issuer from year
five, subject to regulatory authorization.

Rating Sensitivities

As the securities are notched from Bankia's VR, their rating is
sensitive to changes in the bank's VR.

ERDEMIR: Moody's Lifts Corp. Family Rating to Ba3; Outlook Stable
-----------------------------------------------------------------
Moody's Investors Service upgraded the Turkish steel producer
Erdemir's corporate family rating (CFR) to Ba3, the probability
of default to Ba3-PD and the national scale rating to Baa1.tr.
The rating outlook is stable.

Ratings Rationale

The upgrade was prompted by ongoing improvements in Erdemir's
operating performance and credit metrics in 2013, benefiting from
strong industrial activities in Turkey. The strong performance
was achieved in a depressed pricing environment, with higher
revenues and a continuation of strong operating margins of
approximately 20% EBITDA margin on a Moody's-adjusted basis,
producing net income of USD484 million at the end of 2013, up
from USD252 million in 2012.

Erdemir's Ba3 CFR reflects (1) the volatility of the steel
industry; (2) industry overcapacity in the mature European
markets; and (3) Erdemir's relatively high dependence on iron ore
and coking coal supplied by third parties, which could squeeze
margins if prices for these raw materials remain high relative to
steel selling prices. In addition, the company's production is
primarily based in Turkey where it operates two integrated steel
plants in the cities of Eregli and Iskenderun. This concentration
of production exposes Erdemir to some operational risks. Moody's
also notes that most of Erdemir's output is sold in Turkey, a
country in which some segments of the economy may be challenged
in 2014 even if Moody's still expects an overall GDP growth.

However, the rating also considers Erdemir's robust operating
performance and strong credit metrics, benefiting from overall
supportive industrial activity in Turkey. Furthermore, Erdemir
holds a strong market position in the Turkish flat steel market
as the company is by far the largest producer. The company
continues to generate strong free cash flow, which allows it to
pay large dividends to its shareholders. Leverage remains
moderate with Moody's-adjusted gross debt/EBITDA of 2.0x as of 31
December 2013 (the initial acquisition debt at Ataer Holding is
not reflected in Moody's metrics).

In 2014, Moody's expects that Erdemir will maintain satisfactory
profitability and leverage metrics. Its liquidity is supported by
positive free cash flow and a large cash balance, but weakened by
the company's reliance on short-term facilities. Furthermore, for
the remainder of the year Erdemir will have to manage USD360
million of bank loans (ca.TRY673.3 million) and USD202 million of
revolving trade finance facilities (ca.TRY500 million) maturing,
in a worsened capital market and banking environment. However, in
light of the company's creditworthiness and its strong
relationship with Turkish and international banks, Moody's does
not foresee any refinancing issues if and when the company
decides to refund its debt maturities.

Rationale For Stable Outlook

The stable outlook reflects fairly favorable economic
fundamentals for Turkey (albeit with the country's GDP growth
expected to slow down this year) and good operating flexibility.

What Could Change The Rating Up/Down

The rating could be upgraded if the company maintains debt/EBITDA
below 2.0x and generates positive free cash flow while materially
improving its liquidity profile.

However, the rating could come under pressure if leverage were to
increase above 3.0x on a sustainable basis, retained cash flow
was projected to be less than maintenance capex on a recurring
basis, or if liquidity was deemed inadequate.

Eregli Demir ve Celik Fabrikalari (Erdemir) is the largest steel
producer in Turkey and essentially the only flat steel company
using the integrated steel-making process (Erdemir owns a large
iron ore deposit in Turkey). With a total production of 8.5
million tons of crude steel in 2013, the company accounted for
approximately 24% of Turkey's crude steel production, which is 2%
more than in 2012. Erdemir is majority owned by Ordu Yardimlasma
Kurumu (OYAK) (Baa3, stable), the Turkish private pension fund
primarily serving members of the Turkish Armed Forces. Erdemir
reported TRY9.8 billion (USD5.1 billion) of sales for 2013.

LEMMA INSURANCE: A.M. Best Cuts Issuer Credit Rating to 'b-'
------------------------------------------------------------
A.M. Best has removed the status of under review with negative
implications and downgraded the financial strength rating to C+
(Marginal) from C++ (Marginal) and issuer credit rating to "b-"
from "b+" of Lemma Insurance Company (Lemma) (Ukraine).  The
outlook assigned to both ratings is negative.  Concurrently, A.M.
Best has withdrawn the ratings.

On May 8, 2014, Lemma requested to no longer participate in A.M.
Best's interactive rating process. In line with its policy and
procedure, A.M. Best is required to disseminate a final rating
update prior to the withdrawal of the ratings.

The downgrade of Lemma's ratings reflects the significant
uncertainty associated with Lemma's ability to meet its domestic
and foreign policyholder obligations due to the heightened
political and economic risk environment in Ukraine.

Lemma's substantial underwriting and financial risk exposures to
the domestic market, as well as its high counterparty risk to a
local unrated reinsurer, creates uncertainty with regard to the
company's ability to maintain its risk-adjusted capitalization at
a suitable level.

CO-OPERATIVE GROUP: Members Vote in Favor of Governance Reforms

Christopher Williams at The Telegraph reports that Richard
Pennycook, the head of the troubled Co-operative Group, has
warned that it will take five years to stabilize the mutual even
after members voted unanimously to support wholesale reform of
its failed governance structure.

Mr. Pennycook, interim chief executive, confirmed the Co-op will
prepare sweeping governance reforms after its members approved
new principles to help the troubled mutual recover from its
GBP2.5 billion loss last year and the near-collapse of its
banking arm, The Telegraph relates.

The principles were voted on by 160 representatives of regional
boards and independent co-operatives in a special general meeting
(SGM) at the Co-op's headquarters in Manchester, The Telegraph
discloses.

Mr. Pennycook, as cited by The Telegraph, said lenders were
supportive but had the group under a close watch.  He predicted
it would take up to five years to stabilize the business, with
the next two years expected to be particularly tough, The
Telegraph notes.

The principles agreed by Co-op members do not implement the
details of Lord Myners' recommendations but set the stage for
radical changes, many of which will require rule changes and more
votes, The Telegraph states.

The board, The Telegraph says, will meet before the end of this
month to produce a timetable for applying the new governance
principles, with a sub-committee to be established to discuss how
they will be enacted.

Co-operative Group is a mutually owned food-to-funerals
conglomerate.  Founded in 1863, the Co-op Group has more than six
million members, employs more than 100,000 people, and has
turnover of more than GBP13 billion.


THEATRE HOSPITALS NO. 1: Fitch Cuts Cl. C Notes Rating to 'B+'

Fitch Ratings has downgraded Theatre (Hospitals) No. 1 Plc's and
Theatre (Hospitals) No. 2 Plc's class C notes and affirmed the
class D notes.  The Outlooks are Negative

Key Rating Drivers

The downgrade of the class C notes reflects Fitch's opinion that
the likelihood of their default is relatively closely aligned
with that of the class D notes.  This is due to the uniqueness
and illiquid nature of the securitized property portfolio, which
hence may be subject to material fluctuations of realizable
market value.

The affirmation of the class D notes predominantly reflects the
improvement in the notes' loan-to-value ratios (driven by a
bottoming out in the tenant's financial performance, minor
principal amortization and the reduction in negative mark-to-
market (MtM) of the interest rate swaps to around GBP460 million
from GBP575 million last year). Fitch considers a consensual
restructuring now more likely although enforcement and a forced
sale is a possibility given the complexity of the transaction's
structure and large number of parties involved, particularly if
the restructuring negotiations become more protracted.

The Negative Outlooks reflect Fitch's limited insight into the
tenant's (opco) operating performance combined with the
uncertainty of the outcome of the restructuring process with a
forced sale still being a possibility.  This is further
exacerbated by the complexity of the transaction structure (with
multiple issuers and layers of creditors, large scale of
operations and high levels of debt).

Since the last review, BMI Healthcare's (BMI; the opco)
performance appears to have flattened out with trailing 12 month
(TTM) December 2013 EBITDAHR increasing by 0.5% to GBP197.7
million.  The first increase after several years of decline
results from higher revenues but the ongoing rising operating
costs (notably in medical fees) have further compressed margins
to approximately 31%.  Fitch expects that in line with improving
UK economic conditions, the opco's performance might continue to
show signs of stabilization.  However, annual rent increases of
2.5% will probably put the opco's cash flow under pressure and
might not be sustainable over the longer term.

The underlying propco loan was due on October 15, 2013 but the
relevant transaction parties agreed to a series of short-term
extensions of the loan maturity date, currently until 15 July
2014 to enable restructuring negotiations to continue.

Fitch notes that the indicative terms of the current
restructuring proposal (as published by the master servicer)
include a partial prepayment of senior debt from the proceeds of
a new subordinated loan ranking ahead of junior loans, a five-
year extension of loan final maturity date, restructuring of the
existing hedging arrangements, increased margins on senior loans,
allocation of surplus cash flows towards repayment of senior
loans and amendments of the existing junior loans, including
accrual of interest on junior loans.  However, details of this
proposal remain unknown at this stage.

Fitch would expect that during the long-term extension, the
transactions could benefit from the recovering UK economy, a
clearer outlook regarding healthcare reforms and potentially
reduced MtM on the swaps if interest rates were to rise again.

Fitch's revised base case assumes the opco's performance will
flatten out, with EBITDAHR fluctuating around GBP197 million
driven by the UK's improving macroeconomic environment,
employment market and probably also disposable income.

Fitch's implied market value of the properties at the end of the
short-term extension in July 2014 remains broadly stable at
around GBP1.3 billion (based on EBITDAHR rent cover of 1.8x and
blended net yield of 8.0%).  Together with the decrease in swap
MtM to around GBP460 million (GBP575 million last year) and the
partial amortization of the senior loan after the payments to the
junior lenders have been switched off contributed to an
improvement in projected LTVs (including swap MtM) to 94% from
109% and to 104% from 119% for the class C and D notes,
respectively, compared with our forecast at the time of the last
review.  However, Fitch notes that a number of valuation
parameters are deemed quite volatile, making material changes in
LTVs likely.  Furthermore, realisable asset values in a forced
sale scenario may be significantly below Fitch's implied market
value.

Without the MtM, Fitch's LTVs are at more comfortable levels of
59% and 68%, respectively.  Nevertheless, Fitch believes the
continued deterioration of the opco's EBITDHAR rent cover to
around 1.53x in 2013 (from 1.8x in 2009) remains a risk.

Rating Sensitivities

If the transactions are restructured in a way that is deemed
detrimental (e.g. crystallization of the MtM of the swaps) or a
forced sale of the properties occurs, then the ratings of the
class C and D notes are likely to be downgraded further.  The
ratings could also be downgraded if the opco's performance
deteriorates, for example if despite the improving UK economic
outlook, the PMIs and self-pay revenues were further curtailed or
the opco was able to re-negotiate the currently paid rent.

The transactions are securitizations of loans to property-owning
entities (the propco) secured on 35 private hospitals operated by
BMI, the acute private hospital division of General Healthcare
Group (GHG).  The propco's principal source of repayment under
the term loan is the net rent received under leases payable by
tenants operating within BMI.  BMI is the largest independent
provider of private patient care in the UK, operating a total of
72 hospitals with over 3,000 beds.  Both issuers are identical in
structure and their notes rank equally within one another.

VEDANTA RESOURCES: Fitch Puts 'BB+' IDR on Watch Negative
---------------------------------------------------------
Fitch Ratings has placed India-based Vedanta Resources PLC's
(Vedanta) Long-Term Issuer Default Rating (IDR) of 'BB+' on
Rating Watch Negative (RWN).  The agency has also placed the
company's senior unsecured rating of 'BB' on RWN.

The rating was placed on RWN because Fitch is changing its
approach to using metrics based on a proportional consolidated
financial profile, given the significant minority shareholders at
the key operating entities in the group, which have different
debt and cash levels. Fitch previously used metrics based on the
consolidated financial profile of the group.

The ratings may be downgraded by a maximum of one notch following
the review. For the previous sensitivities, see the rating action
commentary titled "Fitch Revises Vedanta's Outlook to Stable;
Affirms IDR at 'BB+'" dated May 16, 2013 that used metrics based
on the consolidated profile.

VIRIDIAN GROUP: Fitch Affirms 'BB-' LT Issuer Default Rating
------------------------------------------------------------
Fitch Ratings has revised Viridian Group Investments Limited's
(VGIL) Outlook to Stable from Negative, while affirming its Long-
term Issuer Default Rating (IDR) at 'BB-'.

Fitch has also affirmed Viridian Group Fundco II Limited's notes
senior secured rating at 'BB' and Viridian Group Limited's (VGL)
and Viridian Power and Energy Holdings Limited's (VPEHL) super
senior revolving credit facility (RCF) at senior secured rating
'BB+'.

The Outlook revision reflects Fitch's projections for VGIL's
interest cover to be around 2.0x during 2014-2016 and VGIL's
FYE14 (financial year ended March 2014) guidance for interest
cover and leverage being in line with the current ratings.  This
was supported by sufficient free cash flow generation, as a
result of low capex requirements, fairly stable cash flows from
its regulated businesses and capacity payments from its Huntstown
plant, and a strongly covenanted financing structure with a
dividend lock up.  The affirmation also follows the repurchase of
GBP40 million of outstanding senior secured notes at 103% during
the course of FY14.

Key Rating Drivers

Reduction of High Leverage
The ratings are supported by Fitch's expectation that the company
will continue to generate positive free cash flow to reduce its
high leverage over the rating horizon, due to VGIL's small capex
requirements and zero dividend pay-out which, however, expires in
2014. Fitch currently does not forecast any dividends being paid
after the expiry; however, negative rating action may result from
dividend payments that result in a breach of credit ratio
guidelines. Fitch also notes that the company has the ability to
redeem up to 10% of the notes at 103% every year until 2015.

Improving Coverage
The Stable Outlook reflects an improvement in interest cover as a
result of positive free cash flow generation in FY14.  The
existing 2017 bond at 11.25% places a large cash interest burden
on VGIL. Forecast interest payments have been helped by the
repurchase of GBP40 million of outstanding senior secured notes
at 103% during the course of FY14.  Fitch therefore forecasts
funds from operations (FFO) gross interest cover for FYE14 of 2x
and FFO net adjusted leverage of 3.5x, in line with guidelines.

Weak Business Risk Profile
VGIL's ratings are supported by predictable earnings from its
regulated and quasi-regulated activities. Its regulated retail
supply and power procurement businesses are expected to have
generated about 30% of EBITDA in FY14.  VGIL's quasi-regulated
earnings are driven by generation earnings and capacity payments
for its combined cycle gas turbine (CCGT) plants, which are
expected to have represented another 20% of EBITDA for FY14.

At the same time the business risk profile is restricted by its
two CCGT plants that are of limited generation size and are
currently operating at close to zero per cent utilization as a
result of spark spreads and their mid to low merit order. The
retail operations are also under pressure from increased market
competition and from imbalance between supply and generation
output, making VGIL susceptible to market price movements.

Arcapita Chapter 11 Filing
Arcapita (VGIL's shareholder), has emerged from Chapter 11 of
bankruptcy proceedings in the US. Following completion of its
refinancing in 2012, VGIL is not financially dependent on
Arcapita or any other filing debtor. The shareholder loan (which
is indirectly from Arcapita) is a robustly managed third party
agreement with sufficient clauses tying it to the senior secured
notes and facility. However, Fitch highlights that there remains
scope within the borrowing facilities to trigger the change of
control clause should VGIL be sold.

Equity-Like PIK
Fitch has not consolidated the GBP198 million (as at December 31,
2013) junior facility issued at the VGHL level and, therefore has
excluded this from leverage and coverage ratios.  The features of
this instrument match Fitch's perception of a true holdco PIK
instrument

Rating Sensitivities

-- Future developments that may lead to a positive rating action
    include the reduction of FFO-adjusted net leverage below 3x
    and/or FFO interest coverage above 3x on a sustained basis.

-- Future developments that could lead to negative rating action
    include the commencement of dividend payments and high
    investments in renewable assets leading to an FFO net
    leverage above 4x and/or FFO gross interest coverage below 2x
    on a sustained basis

Liquidity And Debt Structure

As at December 31, 2013, VGIL's liquidity was adequate with
around GBP28 million of available cash and investments, a fully
undrawn GBP125 million sub-limit of the RCF applicable to loans,
no short-term debt maturities and positive projected free cash
flow.

Monday's edition of the TCR delivers a list of indicative prices
for bond issues that reportedly trade well below par.  Prices are
obtained by TCR editors from a variety of outside sources during
the prior week we think are reliable.  Those sources may not,
however, be complete or accurate.  The Monday Bond Pricing table
is compiled on the Friday prior to publication.  Prices reported
are not intended to reflect actual trades.  Prices for actual
trades are probably different.  Our objective is to share
information, not make markets in publicly traded securities.
Nothing in the TCR constitutes an offer or solicitation to buy or
sell any security of any kind.  It is likely that some entity
affiliated with a TCR editor holds some position in the issuers'

Each Tuesday edition of the TCR contains a list of companies with
insolvent balance sheets whose shares trade higher than US$3 per
share in public markets.  At first glance, this list may look
like the definitive compilation of stocks that are ideal to sell
short.  Don't be fooled.  Assets, for example, reported at
historical cost net of depreciation may understate the true value
of a firm's assets.  A company may establish reserves on its
balance sheet for liabilities that may never materialize.  The
prices at which equity securities trade in public market are
determined by more than a balance sheet solvency test.
