BANK OF AZERBAIJAN: Moody's Assigns Ba3 Sr. Unsecured Debt Rating

Moody's Investors Service has assigned a Ba3 long-term foreign-
currency senior unsecured debt rating to the upcoming senior
unsecured notes to be issued by International Bank of Azerbaijan.
The outlook on International Bank of Azerbaijan's senior unsecured
debt rating is positive.
The rating assumes that final documents on the notes will not
materially change from those reviewed by Moody's.
Ratings Rationale
The Ba3 foreign-currency senior unsecured debt rating assigned to
the notes is in line with International Bank of Azerbaijan's
global local currency deposit rating (positive outlook), which is,
in turn, based on (1) the bank's standalone E+ bank financial
strength rating (stable outlook), equivalent to a baseline credit
assessment (BCA) of b3; and (2) Moody's assessment of a high
probability of support from the government of the Republic of
Azerbaijan (Baa3 stable) -- which results in a three-notch uplift
above the bank's BCA.
According to the issuance terms of the notes, International Bank
of Azerbaijan must comply with a number of covenants, including a
negative pledge clause and an obligation to maintain a Basel
capital-to-risk-weighted assets ratio of not less than 10%. (The
bank reported a total capital adequacy ratio under Basel of 12.6%
as of December 31, 2013, according to audited IFRS.)
In the event of bankruptcy, insolvency or liquidation,
International Bank of Azerbaijan's notes will rank at least "pari
passu" with all other unsecured and unsubordinated obligations of
the bank.
What Could Move The Ratings Up/Down
Given the positive outlook, International Bank of Azerbaijan's
ability to improve its capital position and maintain adequate
asset quality over the outlook horizon would have positive rating
implications. At the same time, the outlook could be changed to
stable if the bank fails to demonstrate a sustainable trend in its
financial performance.
The principal methodology used in this rating was Global Banks
published in May 2013.
Headquartered in Baku, Azerbaijan, International Bank of
Azerbaijan reported consolidated total assets of AZN7.7 billion,
total equity of AZN593 million and net profit of AZN59 million,
under audited IFRS as at year-end 2013.

ALLIANCE BANK: Debt Restructuring Talks with Creditors Fail
-----------------------------------------------------------
Carolyn Cohn at Reuters reports that Timur Isatayev, Alliance
Bank's chief executive, said on Thursday talks with creditors of
Kazakhstan's wealth fund-controlled bank have broken down without
agreement.
Mr. Isatayev, as cited by Reuters, said that the bank met a
creditor committee over the past two days and offered improved
terms compared with an initial debt restructuring offer made in
January.
Alliance is 51% owned by local sovereign wealth fund
Samruk-Kazyna, which has reduced its stake in recent weeks.

JSC Alliance Bank is the sixth-largest bank in Kazakhstan by net
loans. JSC Alliance is a bank with substantially all of its
operations in the Republic of Kazakhstan. As of June 30, 2009,
the Bank's net assets constituted 4.9% of the total assets of the
banking system in Kazakhstan. It has 3,900 employees. The Bank's
only assets in the U.S. are certain correspondent accounts with
U.S. Banks.
JSC Alliance Bank filed for Chapter 15 bankruptcy (Bankr. S.D.N.Y.
Case No. 10-10761) to protect itself from U.S. lawsuits and
creditor claims while it reorganizes in Kazakhstan. The Chapter
15 petition says that assets and debts are in excess of
US$1 billion. Law firm White & Case LLP, based in New York, is
representing JSC Alliance in the Chapter 15 case.

ALISON LUXCO: S&P Assigns Preliminary 'B' CCR; Outlook Stable

Standard & Poor's Ratings Services said it assigned its
preliminary 'B' long-term corporate credit rating to Luxembourg-
based auxiliary components business Alison LuxCo S.a.r.l. The
outlook is stable.
At the same time, S&P assigned:
-- Its preliminary 'B' issue rating to the proposed first-lien
senior secured debt, comprising a EUR40 million revolving
credit facility (RCF) and a EUR310 million term loan B.
-- The preliminary recovery rating on these facilities is '3',
reflecting S&P's expectations of recovery prospects at the
lower end of S&P's range, indicating its expectation of
meaningful (50%-70%) recovery in a default scenario.
-- S&P's preliminary 'CCC+' issue rating to the second-lien
senior secured term loan. The preliminary recovery rating
on these notes is '6', reflecting S&P's expectations of
negligible (0%-10%) recovery.
The final ratings will depend on S&P's receipt and satisfactory
review of all final transaction documentation. Accordingly, the
preliminary ratings should not be construed as evidence of final
ratings. If Standard & Poor's does not receive final
documentation within a reasonable timeframe, or if final
documentation departs from materials reviewed, S&P reserves the
right to withdraw or change its ratings. Potential changes
include, but are not limited to, use of loan proceeds, maturity,
size, and conditions of the RCF and guarantee facility, terms and
conditions of the loans and the preferred equity certificates
(PECs), financial and other covenants, security, and ranking.
The ratings on Alison, the former auxiliary components business of
French industrial group Alstom S.A., reflect S&P's view of the
group's aggressive capital structure following the proposed
leveraged buyout by private equity Group Triton. The buyout was
announced on April 1, 2014, and is expected to be completed by
July 31, 2014.
"We assess Alison's financial risk profile as "highly leveraged"
under our criteria. Based on the proposed capital structure after
the buyout, we estimate that the group's Standard & Poor's-
adjusted net debt-to-EBITDA ratio will be close to 7.5x-8.0x by
Alison's fiscal year end of March 31, 2015, increasing based on
our assumption that Alison will incur substantial restructuring
charges through fiscal 2015 that would hamper EBITDA generation.
Our estimate includes financial debt of about EUR430 million,
excluding the EUR40 million undrawn RCF and a EUR160 million
guarantee facility. As of March 31, 2014, the group had issued
guarantees of about EUR125 million," S&P said.
"We exclude the PECs to be provided by shareholders from our debt
calculation for Alison, since we believe they are likely to
qualify for equity treatment according to our criteria. We note,
however, that we need to review the final documentation to confirm
that the PECs are stapled to shares, deeply subordinated to all
existing and future debt instruments, and that no mandatory cash
payments will be associated with these instruments. These are the
most important conditions to be fulfilled that would in turn
enable us to treat these instruments as equity-like under the
finalized structure. Including these instruments in Alison's
debt, our adjusted debt-to-EBITDA would be more than 12x based on
the EBITDA we expect in 2015," S&P added.
"We assess Alison's business risk profile as "weak," based
primarily on constraints from the group's exposure to cyclical and
mature end markets. The group derives about 60% of its business
from energy markets and 18% from petrochemical end customers. We
regard Alison as exposed to regulatory risk in its energy-related
business. The expected downward trend in coal usage for energy
generation undermines the prospects for the group's air pre-
heaters business unit over the longer term, and will likely
translate into limited growth and intense competition for Alison
in its core markets, particularly Western Europe and the U.S. We
think the group could consequently experience a squeeze on
profitability. Alison is also exposed to some project execution
risks, in particular in its heat transfer solutions segment, which
could translate into volatile operating earnings. We also see
risks related to the group's strategy to expand its position in
markets which are likely to grow the most rapidly. We assess
Alison's product focus as relatively narrow compared with that of
other players in the capital goods industry," S&P noted.
On the upside, S&P sees Alison's leading positions in some niche
markets and its solid EBITDA margins of about 16%-17% at the high
end of the 11%-18% range that S&P defines as "average" for capital
goods companies. S&P also assess Alison's geographic diversity as
sound, with some 37% of revenues generated from emerging markets,
and the rest split between the U.S., Japan, and Europe. The large
contribution from stable aftermarket business to revenues and
earnings (representing about 45%-50% of revenues in recent years)
should continue to provide some resilience to group operating
performance, while the current strong order backlog adds some
visibility to future revenue and earnings generation. The
business risk model also benefits from the group's low capital
expenditure (capex) requirements, which we expect will equal about
2.0% to 2.5% of revenues over our 2015-2016 forecast period.
These low requirements could enhance Alison's cash generation
potential.
In S&P's base case, it assumes the following:
-- It believes that revenue growth in fiscal 2015 will be
somewhat inflated by one large project in Alison's heat
transfer solutions business segment, Jamnagar, which should
result in revenue growth between 15% and 20% in the coming
year.
-- For fiscal 2016, S&P expects the declining contribution
from this project and low organic growth for the group
overall to translate into a mid-single-digit percentage
revenue decline.
-- For fiscal years 2015 and 2016, S&P expects the group to
show a relatively stable underlying operating trend,
supported by the current backlog and a focus on efficiency
improvements. S&P thinks, however, the adjusted EBITDA
margin will narrow to about 12%-13% in 2015, largely due to
sizable restructuring costs that S&P expects the group will
incur, and to recover to about 16%-17% in 2016, in line
with pro forma historical levels (adjusted for some cost
savings that Alison expects to realize when operating on a
stand-alone basis compared with its operations under the
Alstom group).
-- S&P thinks that Alison will achieve a reduction in working
capital, mainly because of normalized inventory levels at
its Jamnagar project, but also through its focus on tight
working capital management, which should bolster free
operating cash flow generation (FOCF).
-- In S&P's view, the group will likely incur only moderate
capital expenditures, running at about 2.0% to 2.5% of
revenues for the coming years.
Based on these assumptions, S&P arrives at the following credit
measures:
-- Fully-adjusted funds from operations (FFO) to debt of about
5% for 2015 and 2016.
-- EBITDA interest coverage ratios of more than 2.0x over
S&P's forecast horizon.
-- Debt to EBITDA of between 7.5x and 8.0x in 2015, moving
toward 6x in 2016, on improving profitability following the
significant restructuring to be undertaken in 2015.
To perform S&P's financial analysis, it notes that only three
years of Alison's historical carve-out accounts exist and were
made available to S&P, and these accounts do not exactly mirror
the transaction structure. S&P understands, however, that the
audited financial statements provided to S&P closely resembles the
group's operational and financial performance on a stand-alone
basis.
The stable outlook reflects S&P's opinion that Alison should
continue to generate moderately positive FOCF over 2015-2016,
based on S&P's assumption that it will gradually improve its
operating performance and control expansionary capex investments
while reducing working capital.
S&P could consider a positive rating action if Alison's fully-
adjusted debt to EBITDA moves below 5x, or if the group
simultaneously continues to generate positive FOCF while liquidity
remains at least "adequate." S&P sees this scenario as unlikely
in the near term, however, given the elevated leverage post
transaction.
S&P could lower the rating on Alison if unexpected adverse
operating developments occurred, such as a sharp economic downturn
in the global economy that affects the group's end markets or a
steep drop in demand for its products in coal power. This could
squeeze the group's reported EBITDA margin to less than 12% and
spark a contraction in operating cash flow generation. The rating
could also come under pressure if the group's FOCF turned negative
as a result of operating shortfalls, adverse working capital
swings, or if the non-cash-paying PEC was replaced by a cash-
paying instrument.
ALTICE INTERNATIONAL: S&P Affirms 'B+' CCR; Outlook Stable
----------------------------------------------------------
Standard & Poor's Ratings Services said that it has affirmed its
'B+' long-term corporate credit rating on Luxembourg-based cable
and telecoms investment holding company Altice International
S.a.r.l. (previously, Altice VII S.a.r.l.). The outlook is
stable.
The affirmation reflects S&P's view that Altice International's
stand-alone credit quality is improving through debt reduction,
but the rating is constrained at the level of the rating on the
more-leveraged parent company Altice S.A. (B+ [prelim]/Stable/--),
as we consider Altice International to be a core subsidiary of its
parent.
"We assess that Altice International is well on track to reducing
its leverage in 2014 due to continued margin expansion following
the implementation of cost efficiencies. Deleveraging recently
accelerated thanks to the IPO at Altice S.A. earlier this year,
which included conversion of all subordinated shareholder loans to
equity. We expect adjusted leverage to decrease toward 4x in
2014, a level which is very comfortably within our financial risk
profile assessment of Altice International, and sufficient to
offset risks related to potential additional acquisitions and some
exposure to foreign exchange volatility," S&P said.
The latter risk is related to the company's recently acquired
operations in the Dominican Republic, but this business is already
showing margin improvement, which enhances group margins and
diversification and further supports S&P's business risk profile
assessment. As a result of the above factors, S&P is revising
upward its assessment of the company's stand-alone credit profile
(SACP) to 'bb-' from 'b+'.
S&P's assessment of Altice International's financial risk profile
as "aggressive," as its criteria define the term, reflects its
anticipation that adjusted leverage will remain somewhat higher
than 4x and that adjusted funds from operations (FFO) to debt will
remain lower than 20%. S&P assess that material further
deleveraging will be limited by the group's appetite for further
international expansion via debt-funded acquisitions. S&P also
anticipates that Altice International may upstream free cash flow
to Altice S.A. S&P therefore do not adjust its calculation of
Altice International's debt for surplus cash.
"Our "fair" business risk profile assessment primarily reflects
our view of the group's leading market share in the Israeli pay-TV
market and meaningful share of the broadband market, high-speed
fiber (cable-based) networks across most regions, and meaningful
geographic diversity. The assessment is constrained, however, by
strong competition from better-capitalized incumbent telecoms
operators across all markets--notably in Israel, where the
incumbent Bezeq has national fiber-to-the-curb network coverage
and growing coverage of fiber-to-the-home. Further constraints
include our anticipation of growing fixed-line competition in
Israel following the implementation of a wholesale access market,
oversupply in the Israeli wireless market, and a highly
competitive and price-sensitive Portuguese telecoms market. We
also see exposure to the emerging Dominican Republic wireless
market, which is predominantly a pre-paid market with relatively
high customer turnover, as a weakness to the company's competitive
advantage," S&P said.
S&P's business risk assessment also incorporates its view of the
telecom and cable industry's "intermediate" risk and Altice's
"moderate" country risk.
S&P views Altice International as a core entity to the Altice
group because it shares the group's name and is an important part
of the group's long-term strategy of owning a portfolio of
integrated cable-based companies. It is S&P's understanding that,
as the division carrying out the group's expansion outside France,
Altice International is integral to the group's operations and
unlikely to be sold.
S&P's base-case scenario assumes:
-- GDP growth of about 3% in Israel;
-- Continued average revenue per user (ARPU) growth in 2014
for Altice's Israeli subsidiary HOT Telecommunications
Systems, fueled by growth in bundles and higher broadband
speeds, and partly offset by a continued decline in mobile
ARPU;
-- Meaningful subscriber growth in the Dominican Republic due
to increased penetration, significantly offset by declining
ARPUs on account of local currency depreciation;
-- 1%-3% revenue decline for the group in 2014 and 2015 on a
like-for-like basis owing to declining mobile ARPUs and
loss of TV subscribers;
-- Meaningful EBITDA growth of about 8% in 2014 on a like-for-
like basis, mainly due to improved margins at HOT and cost
efficiencies at some recently acquired entities. S&P
anticipates that these will result in a 400 basis point
margin improvement; and
-- Meaningful capital expenditure (capex) of about 19% of
revenues.
Based on these assumptions, S&P arrives at the following credit
measures:
-- FFO to debt of about 15% in 2014, increasing to about 16%
in 2015;
-- Debt to EBITDA of about 4.2x in 2014, declining to about
4.0x in 2015;
-- Free operating cash flow (FOCF) to debt of about 4% in
2014; and
-- EBITDA interest coverage of more than 3.0x.
The stable outlook on Altice International reflects that on Altice
S.A., in view of Altice International's core status in the Altice
group. As per S&P's criteria, it aligns the corporate rating on a
core subsidiary with that on the parent.
If S&P upgraded Altice S.A. to 'BB-', it would take the same
action on Altice International, assuming that it continued to
consider the latter a core group entity.
S&P could revise upward Altice International's SACP to 'bb' if
continued deleveraging allowed the company to maintain adjusted
leverage below 4x and FOCF to debt approaching 10%. S&P could
also revise Altice International's SACP upward if it assess its
business risk profile more positively, for example following an
acquisition that we consider strengthens its competitive
advantage. The corporate credit rating on Altice International
would likely continue to mirror that on Altice S.A., however.
S&P could lower the rating on Altice International if it took the
same action on the 'B+' preliminary rating on Altice S.A.
S&P do not anticipate revising downward Altice International's
SACP in the near term, due to the company's solid leverage metrics
compared with S&P's expectations for an "aggressive" financial
risk profile, including its forecast that leverage will remain
comfortably below 5x.
However, S&P could revise downward Altice International's SACP if
it increased its leverage toward 5x or if EBITDA interest coverage
fell to 2.5x without a material enhancement to its business risk
profile.

ABANKA VIPA: Moody's Reviews Caa2 Deposit Ratings for Upgrade
-------------------------------------------------------------
Moody's Investors Service has announced that it has placed on
review for upgrade the long-term deposit ratings of Caa2 of Abanka
Vipa d.d. and affirmed its Bank Financial Strength rating (BFSR)
of E corresponding to a Baseline Credit Assessment (BCA) of caa3.
The rating action follows Moody's expectation that (1) the
European Commission will conclude the review on the restructuring
plan of Abanka within the review period, and (2) once approved,
the bank will improve its capitalization after transferring a
portion of its non-performing loan portfolio to the Bank Asset
Management Company (BAMC). In light of the successful execution of
the state-aid program for the two largest Slovenian peers of
Abanka, Nova Ljubljanska banka d.d. (NLB, Caa1/E/caa2/stable) and
Nova Kreditna banka Maribor d.d. (NKBM, Caa1/E/caa2/stable),
Moody's see the risk of non-completion the recapitalization of
Abanka as limited.
Ratings Rationale
Standalone Credit Strenght Of Abanka
Moody's expects that once the recapitalization and balance sheet
clean up are completed, the standalone financial strength of
Abanka will improve, reducing the level of non-performing loans
and bringing the bank's regulatory capital to the levels
comparable to its immediate peers NLB and NKBM.
Long-Term Deposit Ratings
Moody's has placed on review the long term deposit ratings of
Abanka (Caa2) to reflect expectations of the improvement in the
standalone financial strength. These currently incorporate one
notch of rating uplift from the standalone BCA, based on the
assessment of moderate level of support from the Slovenian
government, similar to the two largest government-owned Slovenian
banks that participated in this restructuring program.
What Could Move The Ratings Up/Down
Given the review for upgrade, upward pressure could develop on the
ratings in the short term if the bank successfully completes the
recapitalization and balance sheet clean-up. In the medium term,
Abanka's ratings could be upgraded if the bank (1) shows signs of
returning to a sustainable business model, with reasonable growth
opportunities and comparable profitability; (2) maintains good
capital buffers; and (3) achieves improving asset-quality trends.
Currently downward pressure is unlikely to develop in the near
term, as reflected by the review for upgrade. In addition, Abanka
is already positioned at very low BCA levels and receives limited
uplift in the long-term ratings. Nevertheless, the ratings could
face negative pressure if the recapitalization does not proceed as
planned, although Moody's assign a relatively low probability of
this happening.

The principal methodology used in this rating was Global Banks
published in May 2013.
AHA MURA: Trade Union Expresses Disappointment Over Receivership
----------------------------------------------------------------
STA reports that Slovenia's biggest trade union confederation, the
ZSSS, expressed on May 28 disappointment with the government and
other key players for allowing AHA Mura to go into receivership.
According to STA, the process will cost the taxpayers around EUR8
million and trigger a social bomb in the Pomurje region.
AHA Mura is a Slovenian clothing maker employing 1,200 people.

BBVA-4 PYME FTA: Fitch Affirms Rating on Class C Notes at 'CCCsf'
-----------------------------------------------------------------
Fitch Ratings has affirmed BBVA-4 PYME FTA's notes as follows:
Class B notes (ES0370458020): affirmed at 'AA+sf ', Outlook Stable
Class C notes (ES0370458038): affirmed at 'CCCsf', Recovery
Estimate (RE) 90%
BBVA-4 PYME is a cash flow securitization of loans to small- and
medium-sized Spanish enterprises (SMEs) granted by Banco Bilbao
Vizcaya Argentaria.
Key Rating Drivers
The affirmation of the class B notes reflects increased available
credit enhancement (CE), due to the transaction's deleveraging and
fairly stable portfolio performance. The class A2 notes have been
redeemed in full and the class B notes have amortized to EUR5.8
million over the last 12 months. As a consequence, CE has
increased to 90.9% from 62.63%.
The class B notes' rating is capped at 'AA+sf'. The class was
recently upgraded, following Fitch's recent upgrade of the Spanish
sovereign.
The rating of the class C notes reflects the high uncertainty on
the timing of repayment. The class C notes are exposed to the long
weighted average life (WAL) of the performing pool and rely on
future recoveries to pay back noteholders. The WAL of the
performing pool is 4.8 years with 30% of the performing pool
maturing between 2014 and 2016 and 60% on or after 2019. The class
C notes are also exposed to high obligor concentration.
Over the past 12 months, 90+ day delinquent loans have decreased
to 0.49% from 0.88% and 180+ day delinquent loans to 0.3% from
0.59%. Cumulative defaults have increased to EUR23.18 million from
EUR22.59 million and current defaults now represent 23.9% of the
pool. The reserve fund has decreased to EUR2.81 million from
EUR3.5 million during the same period.
Rating Sensitivities
Applying a 1.25x default rate multiplier or a 0.75x recovery rate
multiplier to all assets in the portfolio would not result in a
downgrade of the notes.
CATALONIA: S&P Revises Outlook to Stable & Affirms 'BB/B' ICRs
--------------------------------------------------------------
Standard & Poor's Ratings Services revised its outlook on the
Spanish Autonomous Community of Catalonia to stable from negative.
S&P also affirmed its 'BB/B' long- and short-term issuer credit
ratings on Catalonia.
RATIONALE
The outlook revision reflects ongoing fiscal consolidation and
central government support for the region through the credit
facility Fondo de Liquidez Autonomico (FLA) and the fund to clear
arrears. S&P also factors in its improved growth prospects for
Spain and Catalonia.
S&P's ratings on Catalonia mainly reflect its view of the region's
weak budgetary and debt metrics, due to a long history of large
fiscal imbalances. As a consequence, S&P considers its intrinsic
liquidity to be very negative, an assessment mitigated by
Catalonia's continued access to the central government's well-
established funding mechanisms. In addition, S&P views
Catalonia's contingent liabilities as moderate.
S&P regards Catalonia's financial management as "very negative"
for the ratings, as defined in its criteria. S&P's opinion is
based on the tardy implementation of austerity measures in the
face of plummeting revenues since Spain's 2008-2009 economic
crisis. That said, S&P also acknowledges that current management
has implemented significant belt-tightening measures since 2012,
in a context of gradually improving fiscal discipline across the
board. In S&P's view, the region's budgetary flexibility is
average in the international context.
The ratings on Catalonia are underpinned by S&P's opinion of the
institutional framework for Spanish normal-status regions as
"evolving but sound." S&P regards the framework as supportive for
the regions, and the central government as strongly committed to
avoiding financial stress at the regional level. Catalonia's
strong economy also underpins the ratings.
"We view the institutional framework for normal-status regions as
"evolving but sound," as described in our criteria. In our
opinion, the legal reforms passed by Spain's central government,
including enhanced monitoring and enforcement mechanisms are
largely succeeding in fostering budgetary consolidation in Spain's
regional tier, in line with our expectations. At the same time,
the central government continues to provide substantial budgetary
and financial support to all normal-status regions that require
it. The central government is further supporting regions by
gradually reducing the interests it charges for its loans, passing
through its own lower costs of financing. We estimate this also
indirectly benefits regions that finance independently by giving
them more leverage in their own negotiations, and reducing their
financing costs," S&P said.
Catalonia's economy is wealthier than most other Spanish regions.
In 2013, it represented 18.8% of Spain's GDP and 26% of national
export in value terms. Catalonia's GDP per capita is 119.7% of
the Spanish average,or about 113% of the EU average, based on data
from INE, the national statistics office.
In contrast with S&P's previous review, it now estimates Catalonia
may be assisted in its budgetary consolidation process by some
revenue growth, since S&P has revised upwards its Spanish GDP
forecasts. S&P now expects real GDP growth of 1.3% in 2014, 1.8%
in 2015, and 2.3% in 2016, compared with its previous estimates of
0.8% in 2014, and 1.2% in 2015. While revenues for 2014 are
largely set and determined by the financing system, S&P expects
Catalonia may benefit from an improved economic environment as of
2015, which will support revenue expansion.
However, Catalonia cannot take full advantage of its relatively
wealthy economy and the ensuing large tax bases, because it is a
net contributor to the strong equalization transfers between
regions under Spain's public-finance system.
Spanish law states that the regional financing system should be
revised from 2014. However, S&P thinks that the reform will take
longer than initially expected. The central government has
subjected the reform of the regional financing system to the
fiscal reform in Spain requested by the EU, which is still under
study. Since the timing and impact of a reform in the financing
system is still unknown, S&P do not factor it into its base-case
budgetary forecasts or its assessment of the institutional
framework. S&P will evaluate the implications of the reform once
we gain more visibility about the proposed changes. In the
absence of a full reform, however, S&P anticipates that the
central government could transfer additional resources to the
regions that have the lowest financing to strengthen their
financial positions.
During the crisis, when regional revenues plummeted and regions
had to undergo drastic fiscal consolidation, more voices were
raised in Catalonia against the current rules for the allocation
of funds among normal-status regions. This, together with the
fact that the central government has passed several rules that
centralize power in fields such as education, has stimulated an
intense debate over the relationship of Catalonia with the rest of
Spain.
In this context, Catalonia asked the central government to
initiate a sweeping revision of its regional financing regime,
with the aim of increasing its share of revenues. It has also
started a process to change the political status of Catalonia.
Some political parties defend the right to hold a referendum about
Catalonia's independence from Spain.
S&P's ratings on Catalonia do not factor in the possibility of any
change in Catalonia's political status during its forecast horizon
over 2014-2015. On the contrary, S&P continues to incorporate
central government liquidity support to Catalonia, as it has done
massively since 2012, to avoid any financial distress at the
regional level, which could impair the sovereign's credibility in
financial markets.
In 2013, Catalonia cut its operating deficit and its deficit after
capital accounts for the second year in a row in the context of a
contracting economy. Operating deficit declined to 11.6% of
operating revenues from 12.2% in 2012, and deficit after capital
accounts declined to 17.8% of total revenues from 24.1% in 2012.
In national accounting terms, Catalonia's deficit declined to
1.96% of regional GDP, down from 2.23% in 2012, and 4.15% in 2011.
Although the region deviated moderately from the official target,
as S&P expected, it acknowledges its efforts to rein in its
expenditures--total spending declined by 14.1% over the past two
years--and increase its own revenues to reduce its operating
deficit. In this regard, Catalonia has levied new taxes and sold
some assets to compensate for the decline of revenues from the
regional financing system.
S&P's base-case forecast reflects its expectation that Catalonia
will continue to reduce its deficits, maintaining expenditure
growth under control, with no substantial accumulation of
payables. However, the region will continue deviating from
official fiscal targets, with a deficit of 1% of regional GDP in
2014, 0.7% in 2015, and 0.3% in 2016.
Catalonia's 2014 budget envisages what S&P sees as an optimistic
revenue inflow of EUR2.3 billion from asset sales and concessions.
In S&P's base case, it adjusts down revenues related to these
items to only EUR1.5 billion, and S&P offsets the lower revenues
with projected cuts in expenditures.
S&P expects operating deficits to continue improving, down to 9.4%
and 5.4% of operating revenues in 2014 and 2015, from 11.6% in
2013. S&P estimates that Catalonia's deficit after capital
accounts will reach 12.7% and 7.8% of total revenues in 2014 and
2015, down from 17.8% in 2013. S&P's assessment also takes into
account Catalonia's average budgetary flexibility, in line with
that of other Spanish normal-status regions.
S&P estimates that tax-supported debt will reach 303% of
consolidated operating revenues in 2015 under its base case, from
291% in 2013 and 100% in 2007 before the crisis. About 36% of the
region's tax-supported debt at year-end 2013 corresponds to debts
with the central government's FLA and fund to clear arrears. S&P
also includes in Catalonia's tax-supported debt the region's
public-private partnerships, the debt of the region's public
sector, and guarantees, which altogether represent 22% of the
total. Catalonia's tax-supported debt surpasses S&P's highest
debt benchmark of 270% by 1.5x and weighs negatively on the
rating.
Catalonia has moderately high contingent liabilities under S&P's
criteria, related to its large and complex public-sector partially
and fully owned companies and to guarantees.
Liquidity
The short-term rating is 'B'. S&P assess Catalonia's liquidity as
"negative" for the rating based on our view of the region's debt
service coverage ratio as "very negative" and its access to
external liquidity as "strong," thanks to central government
support through FLA.
Excluding support from the central government, Catalonia's
liquidity is extremely tight. Cash and credit lines are virtually
exhausted, monthly internal cash generation is usually negative
because of fiscal deficits, and the region has very large funding
needs, including debt service of EUR10 billion in the next 12
months by S&P's estimate. Furthermore, S&P believes Catalonia is
not able to meet a substantial part of its current funding needs
through foreign funding.
However, Catalonia's extremely tight stand-alone liquidity has
been partly offset by:
-- The FLA credit facility, the purpose of which is to cover
debt service and the authorized fiscal deficits of regions
that adhere to it; and
-- The central government-sponsored credit facilities designed
to pay down regional arrears in debt to suppliers.
In S&P's view, FLA is sufficiently endowed for 2014 and is likely
to continue facing Catalonia's debt service obligations in a
smooth manner during S&P's forecast horizon. S&P considers that
the central government strongly supports the regional governments.
Another positive is favorable lending terms through the two
government-sponsored liquidity facilities. These include only
slightly higher interest rates than the sovereign cost of funding,
long-dated maturities of 10 years, and grace periods of up to two
years. Consequently, S&P expects the average life of Catalonia's
debt to gradually improve from 5.1 years at year-end 2013.
S&P understands that Catalonia's bankers have agreed to roll over
its domestic debt. S&P believes Spanish banks will continue to
refinance the majority of their loans to the region.
Should an unexpected financial obligation materialize, S&P assumes
that the ties between Catalonia and the central government will be
strong enough to activate FLA, facilitating the necessary funding
and preventing default.
OUTLOOK
The stable outlook incorporates S&P's expectation that Catalonia's
budgetary and economic performance will be in line with its base-
case scenario over 2014-2015, and will deviate only moderately
from official fiscal targets. It also incorporates that Catalonia
will continue receiving funds from the FLA in a smooth and timely
manner.
S&P could downgrade Catalonia if, contrary to its expectations,
the region performed in line with its downside-case scenario.
S&P's downside scenario foresees substantial deficits after
capital expenditures, which will lead to a substantial
accumulation of payables, and a rise in tax-supported debt to
about 315% of consolidated operating revenues. S&P would
therefore revise down its view of the region's budgetary
flexibility. In this case, S&P's assessment of the region's
financial management, which it already views as "very negative,"
could weigh more heavily on the rating. This could result in a
downgrade of Catalonia by one or more notches.
S&P could upgrade Catalonia's rating if the region performed
according to its upside case, which assumes higher revenues
combined with continued cost containment, implying a return to
positive operating balances in 2015. S&P could then improve its
assessment of the region's financial management.
In accordance with S&P's relevant policies and procedures, the
Rating Committee was composed of analysts that are qualified to
vote in the committee, with sufficient experience to convey the
appropriate level of knowledge and understanding of the
methodology applicable. At the onset of the committee, the chair
confirmed that the information provided to the Rating Committee by
the primary analyst had been distributed in a timely manner and
was sufficient for Committee members to make an informed decision.
After the primary analyst gave opening remarks and explained the
recommendation, the Committee discussed key rating factors and
critical issues in accordance with the relevant criteria.
Qualitative and quantitative risk factors were considered and
discussed, looking at track-record and forecasts. The chair
ensured every voting member was given the opportunity to
articulate his/her opinion. The chair or designee reviewed the
draft report to ensure consistency with the Committee decision.

VALENCIA: S&P Revises Outlook to Stable & Affirms 'BB-/B' ICRs

Standard & Poor's Ratings Services revised its outlook on the
Spanish Autonomous Community of Valencia to stable from negative.
At the same time, S&P affirmed its 'BB-/B' long- and short-term
issuer credit ratings on Valencia.
RATIONALE
The ratings mainly reflect S&P's assessment of Valencia's
financial management as "very negative" under its criteria.
Additional rating constraints are Valencia's weak economy, with
high unemployment; S&P's views of its "negative" liquidity
position, negative budgetary performance, high deficit, and its
extremely high tax-supported debt.
The ratings are supported by S&P's view of the institutional
framework for Spanish normal-status regions as "evolving but
sound." S&P considers that the central government is strongly
committed to avoiding financial stress at the regional level.
S&P views Valencia's budgetary flexibility as in line with that of
other Spanish normal-status regions, with which it shares a common
framework. Its contingent liabilities are moderate, as a result
of its large public sector of partially or fully owned companies.
The ratings on Valencia reflect S&P's assessment of its financial
management as "very negative." S&P takes into account Valencia's
track record of high deficits and debt accumulation already during
years of economic growth, but especially following Spain's 2008-
2009 economic crisis. These deficits may be attributed in part to
below-average equalization transfers to Valencia, between regions,
under Spain's public finance system, but also to large
expenditures that the region didn't adjust swiftly enough when
revenues fell sharply. S&P's assessment also factors in the size,
complexity, and historically poor performance of Valencia's public
sector owned companies. Valencia's public sector has accumulated
large debt, which continues to burden the region. S&P
acknowledges, though, that Valencia is currently downsizing and
restructuring its public sector.

The region of Valencia is among the less wealthy in Spain, with
GDP per capita at 88% of the national average, based on data from
INE, the national statistics office. Its unemployment rate is
high--28% in first quarter of 2013 against a national average of
26%.
Because S&P has revised up its forecasts for Spain's real GDP
growth, it now projects that Valencia will likely generate
moderate revenue growth that would facilitate its budgetary
tightening. S&P forecasts GDP growth of 1.3% in 2014, 1.8% in
2015, and 2.3% in 2016, compared with its previous estimates of
0.8% in 2014 and 1.2% in 2015. Although the financing system
largely sets and determines revenues, S&P thinks Valencia may
benefit from the improved economy and its support of revenue
expansion as of 2015.
In 2013, Valencia posted budgetary results that were in line with
S&P's previous downside scenario, with an operating balance of
negative 18.2% of operating revenues, compared with S&P's
expectation of 13.2%. The region's deficit after capital
expenditures was 32.1% of total revenues, compared with S&P's
expectation of 22.5%. However, these results were affected by the
region's recognition of expenditures linked to a new supplier debt
refinancing program. In national accounting terms, Valencia cut
its deficit to 2.33% of regional GDP, down from 3.94% in 2012 and
5.15% in 2011. The region deviated from its individual deficit
target of 1.60% of GDP, although less than in the previous years.
S&P's base-case forecast reflects its expectation that Valencia
will continue to gradually reduce its deficits, and post moderate
deviations from official fiscal targets. S&P bases its opinion on
the now stronger incentives for Spanish regions to reduce spending
on the back of tougher fiscal enforcement mechanisms for the
regions. S&P also factors in its perception that the central
government has enhanced control mechanisms, particularly for
regions that make use of the government-sponsored credit facility
Fondo de Liquidez Auton¢mica (FLA).
S&P understands the central government has reduced transfers to
Valencia under the public finance system in 2014. However, S&P
anticipates modest growth in Valencia's revenues from its newly
introduced tax on bank deposits, either directly or through
compensation by the central government. Consequently, S&P expects
operating revenues to grow by about 0.9%, in contrast with its
previous expectation of a 1.5% decline for the year.
S&P considers that the region of Valencia's current weak financial
position stems to a large degree from years of underfunding. In
S&P's opinion, only a structural reform of Valencia's financing
could lead to a sustainable improvement in its financial position.
Given Valencia's weak financing, S&P thinks any reform to Spain's
regional financing system would likely benefit the region's
finances, although the timing, nature, and scope of such a reform
is still unknown.
Although Spanish law states that the regional financing system
should be revisited from 2014, S&P thinks that the reform will
take longer than initially expected. The central government has
subjected the system's reform to the EU's requested fiscal reform
in Spain, which is still under study. Since the timing and impact
of an overhaul of the financing system is still unknown, S&P do
not factor it into its base-case budgetary forecasts or into its
assessment of the institutional framework. S&P will evaluate the
implications of the reform once it gains more visibility on the
proposed changes.
In the absence of a full reform, however, S&P anticipates that the
central government could transfer additional resources to the
regions that have the lowest financing to strengthen their
financial positions. S&P assumes at this stage that Valencia
would be among recipients of these additional resources, starting
in 2015. This future assistance could help to stabilize the
region's financial position, in S&P's opinion, and it incorporates
it into its current base case. This financing, along with the
improving economy, leads S&P to expect an increase in Valencia's
operating revenues of about 7.4% in 2015.
"We expect Valencia to gradually adjust its deficit figures, while
posting moderate deviations from its official targets. In our
base case, we think Valencia will post an operating deficit of
about 10.2% in 2014, slightly higher than our previous estimate of
8.5%. In 2015, however, we anticipate that Valencia will register
an improvement, with an operating deficit down to 4.4% of
operating revenues, compared with our previous expectation of 7%.
In 2014, we expect a balance after capex of about 17.5%, slightly
higher than our previous estimate of 15%. However, we foresee the
deficit after capex decreasing to about 11% in 2015, slightly
better than our previous estimate of 13%," S&P said.
Although S&P expects Valencia to continue accumulating debt, given
its still large deficits, we also think its tax-supported debt as
a percentage of consolidated operating revenue may improve because
of higher revenues. Consequently, S&P thinks Valencia's tax'
supported debt will reach 300% of consolidated operating revenues
in 2015, down from its previous estimate of 326%. Nevertheless,
this improvement would not be enough to bring Valencia's debt
ratio to below S&P's highest debt benchmark of 1.5x.
S&P believes Valencia has moderate contingent liabilities related
to its ongoing restructuring of its large and complex public-
sector companies. Still, S&P understands the restructuring is
advancing satisfactorily, and is already providing some budgetary
relief in the form of lower transfers from the region to its
public sector. S&P already includes most of the debt of the
region's satellite companies in total tax-supported debt.
Liquidity
S&P considers Valencia's liquidity as a "negative" factor for the
rating, based on its view of the region's "very negative" debt
service coverage ratio, and "strong" access to external liquidity.
In S&P's assessment of the region's debt service coverage ratio,
it factors in its estimate of Valencia's internal cash generation
capacity and available credit lines. S&P's main liquidity ratio
(which reflects its base-case scenario of average cash over the
next 12 months and available credit lines) covers about 18% of
Valencia's debt service for the next 12 months (June 2014 to May
2015), which S&P estimates at EUR4.2 billion.
The region's "strong" access to external liquidity encompasses
S&P's view that the central government has demonstrated a clear
willingness to provide strong liquidity support to Valencia
through FLA. The government has earmarked FLA funding for
regional debt repayment and the financing of authorized deficits.
OUTLOOK
The stable outlook on Valencia reflects S&P's expectation that the
region will continue to reduce its budgetary deficits, owing to
Spain's improving economy and additional funding from the central
government.
S&P could downgrade Valencia by one or more notches if the region
performed in line with its downside scenario, making only minor
reductions in its deficits. As part of a potential negative
rating action, S&P could revise down its view of the region's
budgetary flexibility, if it believed that minimal deficit
decreases stemmed from the region's reluctance or inability to
make sufficient cost cuts. S&P's assessment of the region's
financial management, which it already views as "very negative,"
could also weigh more heavily on the rating.
Conversely, S&P could upgrade Valencia if we thought that the
region was likely to benefit from a substantial improvement in its
financing, and it kept a firm grip on expenditures despite revenue
increases. In S&P's view, this would improve Valencia's budgetary
metrics, and put Valencia on track to start gradually
deleveraging. This may in turn prompt S&P to revise up its view
of the region's financial management and raise the rating,
potentially by more than one notch.

Business Cornwall reports that Bush Telegraph has gone into
liquidation.
According to Business Cornwall, Bush Telegraph's assets have been
purchased by Exeter-based IP Office Ltd., which will take control
of the collapsed company's complete customer base.
Bush Telegraph is a Truro-based telecoms company.
HEARTS OF MIDLOTHIAN: Plans to Exit Administration by Mid-June

Barry Anderson at Edinburgh Evening News reports that Hearts plan
to exit administration by mid-June, with BDO passing full control
of the club to new owner Ann Budge.
According to Edinburgh Evening News, legal guidelines state that a
company should not spend more than 12 months in administration and
BDO aim to have all bills and documents signed off in court before
June 19.
A GBP2.5 million Company Voluntary Arrangement (CVA) was agreed
with major creditors in Lithuania last month which allows BDO to
wind up their work, Edinburgh Evening News recounts.
Should the process go smoothly, Hearts could be out of
administration by June 9, Edinburgh Evening News states. However,
that is seen as the most ambitious date, Edinburgh Evening News
notes. The ultimate aim is to finish the process by the 19th and
allow a new era to begin in earnest, Evening Edinburgh News says.
If June 19 arrives and Hearts remain in administration, BDO would
then have to apply to Edinburgh's Court of Session for a one-month
extension to finalize their work, according to Edinburgh Evening
News.
Presently, Hearts would be entitled to apply to the board of the
Scottish Professional Football League (SPFL) to register any new
players on a one in, one out basis because they are still in
administration, Edinburgh Evening News discloses.

Hearts of Midlothian Football Club, more commonly known as
Hearts, is a Scottish professional football club based in Gorgie,
in the west of Edinburgh.
Hearts went into administration after the Scottish FA opened
disciplinary proceedings against the club. BDO was appointed
administrators on June 19.
KNIGHT WARNER: Order Delay Prompts Administration

Dominic Pollard at Business Sale reports that Knight Warner has
been forced into administration after an order worth GBP1.8
million was delayed.
According to Business Sale, when the substantial order was put on
hold, the business was unable to keep up with repayments to
creditors. Sarah Bell and Steven Muncaster, partners at Duff &
Phelps, have now been appointed as joint administrators to the
Chesterfield-based company, Business Sale discloses.
All of Knight Warner's 31 staff have lost their job but have been
paid in full, Business Sale says citing a May 28 report by The
Star. Having closed the business, administrators will now try to
find a way of paying the GBP1.4 million that the company owes to
unsecured creditors, Business Sale states.
Knight Warner is a Chesterfield-based robotics company. The
company made conveying, handling and robotic equipment for sectors
including food, beverage, canning and pharmaceuticals.
LA BECASSE: In Voluntary Liquidation

Janet Harmer at Caterer and Hotelkeeper reports that La Becasse,
previously part of 10 in 8 Group Ltd. has entered voluntary
liquidation.
A notice regarding the appointment of a liquidator was posed on
Companies House on May 28, alongside an extraordinary resolution
to wind up the company, Caterer and Hotelkeeper relates.
La Becasse is a 42-seat restaurant.
MAES MANOR: Gwent Investments Buys Business Out of Administration

Richard Frost at Insider Media reports that the luxury Maes Manor
hotel in Blackwood was bought out of administration for
GBP520,000.
According to Insider Media, a new report by PwC has also revealed
creditors are expected to miss out on more than GBP1 million
following the failure of the grade II-listed building's original
owner.
Manor Pursuits, which traded as the Maes Manor hotel, collapsed on
March 14 when Roger Hale and Matthew Hammond --
Matthew.hammond@uk.pwc.com -- of PwC were appointed joint
administrators by the company's bank Barclays, Insider Media
recounts.
The hotel's turnover and profitability declined significantly in
the 2013 financial year, Insider Media says, citing a newly
published statement of administrator's proposals, dated April 30,
2014.
PwC's report reveals that Gwent Investments paid GBP520,000 to buy
the business and assets of the company as a going concern, of
which GBP495,000 was spent on acquiring the freehold property,
Insider Media discloses.
This transaction included the transfer of all employees and
avoided the prospect of Manor Pursuits incurring sizeable costs
from customers who would have had claims for breach of contract
and lost deposits in the event of the hotel closing, Insider Media
relays.
Barclays, as the company's sole secured creditor, is owed
GBP1.2 million, Insider medial states. Unsecured creditor claims,
meanwhile, are estimated at GBP95,913 but there is not expected to
be any money left over to repay them, Insider Media notes.
The Maes Manor hotel is situated in nine acres of terraced lawns
and woodland on the northern outskirts of Blackwood. It has 28
ensuite bedrooms, the Seasons restaurant with 90 covers and the
Islwyn suite with capacity for 220 guests.
PADARN BUS: Faces Liquidation; 84 Jobs Affected

BBC News reports that Padarn Bus is to close due to "financial
issues" with the loss of 84 jobs.
According to BBC, Padarn Bus, which runs operates routes from
Bangor, Caernarfon, Llanberis and to Beaumaris on Anglesey, said
services ceased at midnight on May 30.
The announcement comes a day after a man, 44, and a woman, 28 were
arrested following allegations of fraud at the company, BBC
discloses.
BBC relates that a spokesman for the family-run firm, which runs
several school services in the county, said the closure was as a
result of losing contracts following the announcement of the

Insolvency firm Baker Tilly said Padarn Bus directors had
instructed them to place the company into creditors' voluntary
liquidation, BBC relays.
Padarn Bus, set up 25 years ago, is one of the largest bus
operators in the county and runs local bus services, school
coaches as well as private hire vehicles. The company also runs
the popular Snowdon Sherpa bus routes linking villages around some
of the most popular tourist walks around Snowdon.
PHOENIX VEHICLE: In Administration; 16 Jobs Affected

Phoenix Vehicle Hire Limited, a West Midlands-based vehicle hire
company which leased refuse trucks and other heavy vehicles to
local authorities and national contracting companies, has been
placed into administration.
Phoenix Vehicle Hire Limited, of Tipton, entered administration on
May 7, with John Kelly and Kirstie Provan of business rescue and
recovery specialists Begbies Traynor, appointed as administrators.
Mr. Kelly said: "Following the termination of a number of finance
agreements prior to appointment, the company did not have access
to a fleet of vehicles to service its customer base. As a
consequence, the company entered administration and ceased trading
immediately which has resulted in 16 employees being made
redundant.
"The administrators novated the fleet support agreements to GMG
Asset Management UK Limited, in order to provide continued service
and maximize the collection of the company's book debts."
Mr. Kelly added that the main reasons for the business failure
were a loss in turnover earlier in the year and high finance
costs.

TURKISTON BANK: S&P Revises Outlook to Neg. & Affirms B- LT CCR
---------------------------------------------------------------
Standard & Poor's Ratings Services revised its outlook on
Uzbekistan-based Turkiston Bank to negative from stable. At the
same time, S&P affirmed its 'B-/C' long- and short-term
counterparty credit ratings on the bank.
S&P believes that Turkiston Bank's capitalization may weaken in
the next 12-18 months. Although S&P currently forecasts that the
bank's risk-adjusted capital (RAC) ratio is likely to exceed 10%
in the next 12-18 months, this forecast is subject to a number of
downside risks.
"On the positive side, we believe that the bank's net interest
margin will recover to 8% on average over 2014-2015. This is
because we expect the previously rapid growth of costly retail
deposits to slow reducing average cost of funds, and the reopening
of the interbank market after regulatory interventions in 2013,
which would provide additional interest income. We also factor in
a capital injection of Uzbek sum (UZS)2 billion (about $875,000)
in 2014, with an expectation that the bank will distribute
approximately 20% of its net profits in 2014-2015 to shareholders.
We assume credit costs of only some 0.5% in 2014-2015, which takes
into account strong performance of the portfolio over the past two
years. However, our projections incorporate high 30% annual asset
growth over 2014-2015, which could strain capitalization. We will
continue to monitor changes in credit costs coming from the bank's
maturing loan portfolio and pressure on margins from pricing
competition in the market," S&P said.
S&P also notes that Turkiston Bank has been unable to obtain a
foreign currency license for several years. This could weaken the
bank's franchise, competitive position, and funding profile. S&P
notes that the bank experienced a decline in customer deposits in
2013, driven by higher interest rates offered by other banks.
Although volumes of customer funds have gradually recovered, S&P
believes that the outflows that took place in 2013 show increasing
volatility of the bank's funding base.
The negative outlook reflects S&P's view that the bank may not be
able to retain strong capitalization and simultaneously develop
its currently weak franchise over the coming 12-18 months.
A negative rating action is most likely come from one of the
following two scenarios:
-- If the bank's earnings capacity becomes insufficient to
support the current strong capitalization, with S&P's RAC
ratio falling below 10%.
-- If S&P observes an increase in the volatility of the bank's
funding base, particularly in the volumes of customer
deposits, and deterioration of customer franchise. In
particular, this could be driven by the bank's prolonged
inability to obtain a foreign currency license.
S&P may revise the outlook to stable if the bank obtains a foreign
currency license and is then able to sustainably improve its
profitable franchise, while maintaining strong capitalization,
with S&P's RAC ratio remaining above 10%. An upgrade is unlikely
in the next 12-18 months.

for bond issues that reportedly trade well below par. Prices are
obtained by TCR editors from a variety of outside sources during
the prior week we think are reliable. Those sources may not,
however, be complete or accurate. The Monday Bond Pricing table
is compiled on the Friday prior to publication. Prices reported
are not intended to reflect actual trades. Prices for actual
trades are probably different. Our objective is to share
information, not make markets in publicly traded securities.
Nothing in the TCR constitutes an offer or solicitation to buy or

the definitive compilation of stocks that are ideal to sell short.
Don't be fooled. Assets, for example, reported at historical cost
net of depreciation may understate the true value of a firm's
assets. A company may establish reserves on its balance sheet for
liabilities that may never materialize. The prices at which
equity securities trade in public market are determined by more
than a balance sheet solvency test.
